近日，君合律师事务所、佳利（香港）律师事务所助力华住集团有限公司在香港联交所第二上市，共募集资金约60.65亿港币（约7.8亿美元）。竞天公诚律师事务所、富而德律师事务所为承销商提供法律意见。
华住集团是一家业务覆盖全球的中国多品牌酒店集团，目前经营禧玥酒店、花间堂、水晶酒店、美居酒店、漫心酒店、全季酒店、汉庭酒店等超过20个酒店品牌。根据弗若斯特沙利文的资料，截至2019 年底，以经营的酒店客房数量计，华住集团为中国第二大及全球第九大的酒店集团。华住集团的美国存托股份自2010年3月26日起于纳斯达克上市。华住集团是根据香港联交所《上市规则》第19C章在香港完成第二上市的第五家美国上市公司。
君合团队的牵头合伙人为邵春阳律师和李骐律师；竞天公诚团队的牵头合伙人为凌特志律师；富而德团队则由合伙人王昶舜和赖志诚律师牵头领导。
Cleary Gottlieb, Freshfields, JunHe and Jingtian act on Huazhu’s $780 mln HK Secondary listing
Huazhu Hotels Group has successfully launched its secondary listing in HKEX, raising a total fund of around $780mln. JunHe and Cleary Gottlieb Steen & Hamilton (Hong Kong) acted as the issuer’s lawyers, while Jingtian & Gongcheng and Freshfields Bruckhaus Deringer advised the underwriters.
Huazhu Group is a fast-growing multi-brand hotel group in China with international operations. As of the end of 2019, it was China’s second largest hotel group and the world’s ninth largest in terms of number of hotel rooms operated, according to industry research. Its American Depositary Shares have been listed on the NASDAQ since 2010. Huazhu Group is also the fifth US-listed company to complete a secondary listing in Hong Kong under Chapter 19C of the Hong Kong Listing Rules.
The JunHe team was led by partners Shao Chunyang and Li Qi, while the Jingtian & Gongcheng team was led by partners Ling Tezhi. The Freshfields team was led by partners Richard Wang and Calvin Lai.
