山东省国欣文化旅游发展集团（“山东文旅集团”）近日作为整合后主体，对涉及鲁商集团、山东黄金、鲁信集团、山东国惠等6家省属大型企业的相关资产进行重组，涉及各类资产总值超过70亿元。植德律师事务所作为法律顾问，为该重组项目提供了经营者集中申报服务。

为进一步整合优化山东省文化旅游资源，推动文化旅游产业转型升级，山东省委省政府和山东省国资委决定组建山东文旅集团，将有关山东省属企业的非主业优质文旅资产，按评估价注入山东文旅集团。这是继山东能源与兖矿集团、山东高速与齐鲁交通之后的山东省内第三次大规模国企重组。

Merits & Tree act on $1.07bln restructuring project of Shandong state-owned enterprises

Shandong provincial government has led on the restructuring of six large state-owned enterprises, including Lushang Group, Shandong Gold Group, Lucion Investment and Shandong Guohui Investment, and formed Shandong Guoxin Culture and Travel Development Group (Shandong Culture & Travel Group”), involving over $1.07 billion assets. Merits & Tree advised the project and provided services of concentration of business operators declaration.

This restructuring project, led by Shandong provincial government and State-owned Assets Supervision and Administration Commission of Shandong province to further upgrade the culture and travel industry, is Shandong’s third largest restructuring of state-owned enterprises, following restructuring between Shandong Energy Group and Yankuang Group, and Shandong Expressway Company and Qilu Transportation.
