在能源领域,中国电力国际发展有限公司(“中国电力”)收购国家电力投资集团有限公司(“国家电投”)旗下中电新能源在境内持有的23家清洁能源项目公司控股权交易完成,交易规模约为74.53亿元,为港股市场近10年来规模最大的清洁能源资产注入交易。君合律师事务所担任中国电力的中国法律顾问。
君合该项目的牵头合伙人为魏瑛玲律师、覃宇律师、张建伟律师。
在消费电器领域,广东新宝电器股份有限公司与Morphy Richards Limited(摩飞公司)签署协议,将由新宝股份受让摩飞公司在中国境内持有的摩飞商标,并收购摩飞公司在英国的子公司以持有其全球范围内(保留地区除外)的摩飞商标、专利等知识产权。本次交易金额为1.98亿美元。

在De-SPAC交易方面,提供AR美妆试装服务的玩美移动与特殊目的收购公司Provident Acquisition Corp.完成合并,玩美移动正式登陆纽交所,成为全球美妆时尚科技第一股。交易为玩美移动提供了约1.19亿美元资金。成立于2015年,玩美移动通过AI、AR SaaS 科技服务为超过400家美妆品牌及个人用户提供AR虚拟试妆和试戴、AI肌肤检测等服务。

Several domestic, cross-border M&A deals reheated flat market in China
Several M&A deals over the past week suggest that the muted M&A market may be heating up again in China.
In the energy field, China Power International Development completed its acquisition of the controlling stakes in 23 domestic clean energy project companies held by China Power Clean Energy, a subsidiary of State Power Investment Group. The transaction size is about $1.34 billion, which is the largest clean energy asset injection transaction in the Hong Kong stock market in the past decade. JunHe acted as the PRC legal counsel for this project.
JunHe’s team was led by partners Wei Yingling, Qin Yu, and Zhang Jianwei.
In the field of consumer appliances, Guangdong Xinbao Electrical Appliance Holdings signed an agreement with Morphy Richards to transfer the “Mofei” trademark in China. Xinbao will also acquire Morphy’s subsidiary company in the United Kingdom, which holds its intellectual property rights such as trademarks and patents all over the world. The transaction amount is $198 million.
Grandway Law Offices advised the buyer in the deal, and the project was led by partners Zhou Tao, Liu Xiaofei, and Pan Bo.
In the U.S., AR beauty products try-on platform Perfect Corp. has completed its business combination with Provident Acquisition Corp., a special purpose acquisition company, and commenced trading on the NYSE. The de-SPAC merger transaction provided Perfect with approximately $119 million in gross proceeds.
Sullivan & Cromwell advised Perfect in the deal, with Davis Polk advising Provident. The S&C team was led by partner Ching-Yang Lin in Hong Kong, and the Davis Polk team was headed by partners James Lin and Howard Zhang.
