国浩律师事务所近日代表好想你公司，完成向百事公司出售零食品牌“百草味”交易的股权过户与资金交割。此交易对价为7.05亿美元，目前已按协议进度完成近7亿美元的对价款支付。

百草味创立于2003年，是中国最大的零食电商之一，2019年营业收入为50亿元人民币。2016年，好想你曾以9.6亿元人民币收购百草味百分百股权。好想你在一份公告中表示，此次出售是希望今后聚焦于红枣业务。

百事公司则表示，收购百草味彰显了百事公司致力于成为中国领先的以消费者为中心的食品饮料公司的决心。

Grandall on Haoxiangni’s $705 mln sale of snack brand to PepsiCo

Grandall Law Firm has advised China jujube maker Haoxiangni Health Food on its $705 million selling of online snack brand Be & Cheery to U.S.-headquartered multinational food, snack and beverage company PepsiCo.

Founded in 2003, Be & Cheery is one of the largest online snack companies in China and reported revenues of about 5 billion yuan ($711.7 million) in 2019. Haoxiangni acquired Be & Cheery in 2016, it said in a filing that it had decided to sell as it wanted to focus on the jujube business.

PepsiCo said the acquisition was an important step in its goal to become China’s leading consumer-focused food and beverage company.

The Grandall team was led by Shenzhen-based partner Li Xiaoli.
