国轩高科股份有限公司、格林美股份有限公司、科达制造股份有限公司和宁波杉杉股份有限公司近日在瑞士证券交易所发行全球存托凭证(GDR)并上市,成为继原“沪伦通”机制适用范围的拓展并纳入深圳、瑞士和德国证券交易所之后,首批在瑞士上市的A股公司。多家中资、国际律师事务所为其助力。
国轩高科总部位于合肥,成立于2006年,是锂离子动力电池制造商。此次瑞士上市募资约6.85亿美元。通力律师事务所、高伟绅律师事务所为该公司提供法律意见,海问律师事务所、贝克·麦坚时律师事务所则担任承销商(中金公司、海通国际、华泰国际、中信里昂、农银国际)的法律顾问。
海问团队牵头合伙人为张继平、蓝洁、徐启飞、马晨铃律师;高伟绅团队由合伙人方刘律师、张珮真律师共同牵头。
格林美成立于2001年,是一家总部位于深圳的绿色科技型企业,主营业务为废电池等废弃资源循环再造。格林美通过此次项目募资约3.46亿美元。广东君信律师事务所、贝克·麦坚时担任发行人律师;竞天公诚律师事务所、高伟绅律师事务所则为承销商提供法律意见。该项目的承销商包括中信里昂、法国巴黎银行、Helvetische Bank AG。

CC, Baker, Haiwen, KWM led on first four A-share companies’ listings on SIX Swiss Exchange under China-Switzerland Stock Connect
A number of international and PRC law firms, including Clifford Chance, Baker McKenzie, Haiwen & Partners, and King & Wood Mallesons, have advised Gotion High-tech, GEM, Keda Group, and Ningbo Shanshan on their offering of global depositary receipts on SIX Swiss Exchange, the first four A-share companies that get listed in Switzerland under the China-Switzerland Stock Connect after China Securities Regulatory Commission reformed the Stock Connect scheme and the Swiss regulators recently finalized the revised SIX listing rules in late July 2022.
Established in 2006, the Hefei-headquartered Gotion High-tech is a manufacturer of lithium-ion batteries. The company raised $685 million through this listing. Clifford Chance and Llinks Law Offices served as the issuer’s legal advisors, with Baker McKenzie and Haiwen advising the joint sponsors, which were CICC, Haitong International, Huatai International, CLSA, and ABC International.
The Haiwen team was led by partners Zhang Jiping, Lan Jie, Xu Qifei, and Ma Chenling, while the CC team was led by partners Fang Liu, and Jean Thio.
GEM was founded in 2001 and based in Shenzhen. As a green technology company, it focuses on the recycling of waste resources. The company, advised by Baker McKenzie and Kingson Law Firm, raised $346 million by offering GDR in Switzerland. The joint sponsors CLSA, BNP Paribas, and Helvetische Bank AG were advised by CC and Jingtian & Gongcheng.
The CC team, led by partners Tim Wang and Jean Thio, also served Shanshan’s offering of GDR.
Established in 1992, Shanshan makes and sells lithium-ion anode materials and polarizers. The company raised $319 million in this listing project. Grandway Law Offices, Linklaters, and Advestra AG advised the company, with CC and Tian Yuan Law Firm advising the joint sponsors consisting of Huatai Financial Holdings, Guotai Junan Securities, CLSA, and Haitong International. Baker McKenzie advised Citibank, which acted as the depository bank.
The Grandway team was led by partner Zang Xin, while the Tian Yuan team was led by partners Cao Chenggang and Pan Jing.
The Foshan-based Keda was established in 1992. It produces and sells construction materials, machinery, overseas building ceramics, and lithium electric materials. Having raised $173 million by listing in Switzerland, the company was advised by Kangda Law Firm, Advestra, with the sponsor CICC advised by Linklaters and King & Wood Mallesons. Baker McKenzie advised Citibank, which acted as the depository bank.
The Kangda team was led by partners Xu Guotao, Zhang Rui, and Li Xianan. The KWM team was led by partner Fan Lingli.
The Baker McKenzie's team in the four listing projects consisted of partners based in China, Zurich, and London, including Christina Lee, Wang Hang, Thomas Tarala, Matthias Courvoisier, Adam Farlow, and Simon Porter.
