1月17日，长租公寓服务商蛋壳公寓于纽交所成功上市，共募集约1.3亿美元资金。盛信律师事务所、海问律师事务所担任了发行人律师，天元律师事务所、瑞生国际律师事务所为承销商提供了法律意见。
蛋壳公寓是2020年登陆纽交所的第一支中概股，其成立于2015年，产品主要涵盖白领分散式公寓和蓝领集中式公寓，目前暂未实现盈利。根据艾瑞资本的报告，蛋壳公寓已成为中国最大的共享居住空间平台之一，增长速度居行业第一。此次募集资金将用于继续扩大公寓规模、增强技术能力等。
花旗环球金融亚洲有限公司、摩根大通、瑞士信贷及老虎证券担任了此次上市的承销商。迈普达律师事务所为上市提供了离岸法律服务。
海问团队的牵头律师为合伙人杜宁；盛信团队牵头律师为合伙人林光祥和Daniel Fertig；天元团队牵头律师为合伙人郁岩；瑞生国际团队牵头合伙人为苏国瑞、张大颖。
同一天在美上市的还有创新医药企业天境生物和中国“音频第一股”荔枝，它们都登陆了纳斯达克，前者募资约1亿美元，后者募资约4510万美元。两起上市都由世达律师事务所、君合律师事务所、达维律师事务所和金杜律师事务所提供法律服务。
Haiwen, STB, Tian Yuan, Latham act on long-term rental apartment’s $130 mln HYSE IPO
Simpson Thacher & Bartlett and Haiwen & Partners have advised Chinese long-term rental apartment company Danke Apartment on it’s $130 million initial public offering in New York, with Tian Yuan Law Firm and Latham & Watkins advising the underwriters.
Danke Apartment is the first Chinese concepts stock listed on HYSE in 2020. Founded in 2015, it provides rental apartments for both white-collar and blue-collar urban customers, and is not yet profitable. It will use the raised funds on purchasing more apartments and enhancing its technology.
Citigroup, Credit Suisse, J.P. Morgan and iTiger were acting as underwriters, while Maples and Calder provided offshore legal services for the deal.
The Haiwen team was led by partner Du Ning; the STB team was led by partners Chris Lin and Daniel Fertig; the Tian Yuan team was led by partner Yu Yan, while the Latham team by partners Benjamin Su and Zhang Daying.
Chinese biotech company I-mab Biopharma and UGC audio platform Lizhi also started trading on the same day on Nasdaq, with the former raising $100 million and the latter raising $ 45 million. Both deals were represented by Skadden, Arps, Slate, Meagher & Flom, JunHe, Davis Polk & Wardwell and King & Wood Mallesons.
