中国零售连锁店经营商华地国际控股集团近日完成私有化计划,并已于3月2日从港交所退市。德恒律师事务所担任了华地国际的中国法律顾问,盛德律师事务所则担任华地国际的香港法律顾问。
根据盛德的一份新闻稿,此次私有化的买方为Octopus (China) Holdings Limited,收购额为45亿港元(约5.79亿美元)。买方公司的唯一股东正是华地国际董事会主席陈建强。星展亚洲融资担任了买方的财务顾问。
华地国际成立于1996年,主营业务为在中国内地,尤其是长三角地区经营百货商店及超市业务,拥有“八佰伴”“华地百货”“大统华”三大品牌,网点布局跨江苏、安徽两省的近十个城市。其于2010年在港交所上市。
盛德团队牵头律师为香港办事处合伙人胡志桦和郑钟汉。
Sidley, DeHeng act on Springland Intl’s going private in Hong Kong
Sidley Austin and DeHeng Law Offices have advised China retail chain operator Springland International Holdings on its HK$4.5 billion ($579 million) privatisation by Octopus (China) Holdings under Hong Kong law and PRC law, respectively. DBS Asia Capital was the financial adviser to the buyer.
Founded in 1996, Springland International engages in the operation of department stores and supermarkets in Mainland China, especially in the Yangtze River Delta region. It owns three main brands – Yaohan, Springland and Datonghua – with branches across nearly ten cities in Jiangsu and Anhui provinces. It was listed on the HKEX since 2010.
The Sidley team was led by Hong Kong-based partners Raymond Oh and Christopher Cheng.
