近日,欧洲Stellantis集团与零跑汽车达成协议,Stellantis集团计划投资约15亿欧元以获取零跑汽车约20%的股权。安理国际律师事务所担任买方的法律顾问,高伟绅律师事务所则为零跑汽车提供法律意见。
交易完成后,Stellantis集团将成为零跑汽车的重要股东之一。此外,Stellantis集团和零跑汽车将以51%:49%的比例成立一家名为“零跑国际(Leapmotor International)”的合资公司,负责零跑汽车产品在大中华区以外的独家出口、销售及制造。本次交易的最终完成将取决于监管机构批准。

零跑汽车是中国纯新能源汽车技术的领军者,本次合作将提升零跑汽车在中国境内的销量,同时借助Stellantis集团的全球商业网络,大幅加快零跑汽车在欧洲及其他地区的销售。

据悉,这也是继蔚来获中东资本7.4亿美元融资、大众汽车向小鹏投资约7亿美元后,中国又一家新能源企业获得外国资本的投资。近期,小马智行也宣布获得沙特阿拉伯王国新未来城(NEOM)及旗下投资基金的1亿美元投资。
A&O, CC on Stellantis Group’s €1.5 bln investment in China EV maker Leapmotor
European automotive giant Stellantis Group has reached an agreement with Hangzhou-headquartered EV company Leapmotor to invest around €1.5 billion for approximately a 20 percent stake in the company. Allen & Overy serves as the legal advisor for the buyer, Stellantis Group, while Clifford Chance offers legal counsel to Leapmotor.
Following the completion of the transaction, Stellantis will become a significant shareholder in Leapmotor. Additionally, the two parties will establish a joint venture company called "Leapmotor International," with a 51% to 49% shareholding ratio. This JV will handle the export, sales, and manufacturing of Leapmotor products outside of the Greater China region. The final completion of this transaction is subject to regulatory approval.
Stellantis, one of the leading global automotive manufacturers and mobility service providers, was established in early 2021 through the merger of the former Fiat Chrysler Automobiles and the French PSA Group. The company owns several well-known automotive brands.
Leapmotor is a leader in China's electric vehicle technology. This collaboration will boost Leapmotor's sales within China and accelerate its sales in Europe and other regions, leveraging Stellantis' global business network.

This also marks another instance of foreign investment in a Chinese EV company, following NIO's $740 million investment from Middle East capital and Volkswagen's approximately $700 million investment in XPeng. Recently, Pony.ai also announced a $100 million investment from the Kingdom of Saudi Arabia's NEOM and its investment fund.
