Swire Beverages Holdings Ltd., a subsidiary wholly-owned by Swire Pacific Limited A (HKEX: 00019), completed a buy-in in Coca Cola's bottling business in China through reorganization on March 31, 2017. The company will pay around RMB 4.6 billion (net) for the franchise and reorganization deal.

Fangda Partners, acting on behalf of Swire Beverages, (i) acquired shares in Coca Cola's Chinese bottling business; (ii) acquired shares in the Chinese bottling business of COFCO Coca-Cola Beverages Ltd, which is owned by COFCO Group, through a bid in the auction; and (iii) sold its shares in certain bottling businesses to COFCO Group. The transactions were conducted under the leadership of its three partners, ZHONG Qi, FAN Jiaqian and HAN Liang. Slaughter and May acted as the foreign legal advisor to Swire Beverages, and its partner Lisa Chung was designated to take charge of the project. Clifford Chance acted as the foreign legal advisor to Coca Cola, and its designated partner was Amy Ho. JunHe and Kirkland & Ellis acted as the Chinese and foreign legal advisors to COFCO Group, respectively.
