阿布扎比投资机构CYVN Holdings将向中国新能源汽车公司蔚来进行约53亿元人民币的战略投资。世达国际律师事务所在交易中为蔚来提供咨询,根据美国证监会网站公布的文件,美国艾金·岗波律师事务所则代表买方参与交易。
CYVN是阿布扎比政府持有多数股权的投资机构,主要集中在先进、智能的移动出行领域进行战略投资和布局。CYVN将通过定向增发新股和老股转让(由腾讯转让)的方式向蔚来进行投资,其后将持有蔚来已发行和流通股份的约7%。在交易完成后,CYVN将有权提名一名董事。
世达的一份新闻稿指出,该笔交易成功交割后,预计将成为中东投资者对中国新能源汽车公司的单笔最大战略性投资。
世达团队由上海办公室管理合伙人武玉挺律师牵头,同时得到华盛顿办公室合伙人Michael Leiter,以及香港办公室合伙人郭子俊律师协助。
值得注意的是,这是近期中东国家和中国在新能源汽车领域达成的第三宗合作:几天前,前途汽车母公司长城华冠和约旦最大的私营公司Manaseer Group签署协议、设立合资公司;高合汽车母公司华人运通则与沙特投资部签署了一份价值56亿美元的协议。
Skadden, Akin on Abu Dhabi’s strategic investment in EV-maker NIO
CYVN Holdings, a firm backed by the Abu Dhabi government, will invest about $738.5 million in Chinese electric vehicle maker NIO Inc. Skadden, Arps, Slate, Meagher & Flom advised NIO in the deal, while Akin Gump Strauss Hauer & Feld advised the buyer, according to a document published on the US Securities and Exchange Commission (SEC)’s website.
CYVN Holdings is an investment vehicle majority-owned by the government of Abu Dhabi and strategically focused on advanced and smart mobility. Under the deal, NIO will issue about 85 million new Class A shares to CYVN. CYVN has also entered into a deal with an affiliate of Tencent Holdings to pick up some shares of NIO.
Upon closing of both deals, CYVN will own 7% stake in NIO, and the holding will entitle the investment firm to nominate one director to NIO's board.
According to Skadden, the investment, upon successful closing, is expected to be the single largest strategic investment to date from a Middle Eastern investor in a Chinese electric vehicle company.
The Skadden team was led by Shanghai partner Yuting Wu, with assistance of Washington, D.C. partner Michael Leiter and Hong Kong partner Steve Kwok.
Interestingly, this is the third EV-related deal made between China and a Middle East country in the past month: just a few days ago, Qiantu Motors signed a strategic partnership agreement with Jordan's largest private company Manaseer Group to jointly establish a joint venture, and Saudi Arabia’s Ministry of Investment has signed a $5.6 billion deal with Chinese EV maker Human Horizons.
