近日，君联资本成功完成其所持亚朵集团部分美国存托股票（ADS）的公开市场旧股配售交易项目的交割。本次合计交易对价为1.74亿美元。
君合在本项目中同时担任售股股东君联资本及亚朵集团的中国境内法律顾问；美国达维律师事务所担任亚朵美国法律顾问；中伦律师事务所、瑞生国际律师事务所则分别担任承销商的中国、美国法律顾问。
本项目承销商为美银证券、招银国际、花旗集团。
亚朵集团于2022年11月成功在美国纳斯达克上市，成为“中国新住宿经济第一股”。今年6月，君联资本曾针对亚朵的美国存托股票（ADS）展开公开发售。
君合团队本项目牵头合伙人为王毅律师和何廷财律师，主要承办合伙人为何廷财律师，内核合伙人为周舫律师。
Davis Polk, Latham lead Atour Lifestyle's $174 million old stock placement project
Legend Capital has successfully completed the delivery of the public market old stock placement transaction project of part of its American Depository Shares (ADS) held in Atour Lifestyle Group. The total transaction consideration for this project amounted to $174 million.
JunHe served as the China legal advisor for both the selling shareholder, Legend Capital, and Atour Lifestyle. Davis Polk & Wardwell served as the US legal advisor for Atour. Zhong Lun Law Firm and Latham & Watkins respectively served as the China and US legal advisors for the underwriters.
The underwriters for this project were BofA Securities, CMBI, and Citigroup.
Atour successfully listed on the NASDAQ in November 2022, becoming the first share of China's new accommodation economy. In June of this year, Legend Capital had conducted a public offering for Atour's American Depository Shares (ADS).
The JunHe team was led by partners Wang Yi and He Tingcai for this project, with He Tingcai as the primary responsible partner and Zhou Fang as the core partner.
