近日，中航航空电子系统股份有限公司（中航电子）发行A股股票换股吸收合并中航工业机电系统股份有限公司（中航机电）成功过会，本次交易金额逾486亿元人民币。嘉源律师事务所担任合并方中航电子的法律顾问。

嘉源在一份新闻稿中表示，该项目或将成为2022年度A股市场最大吸收合并项目，也是A股市场国防军工领域历史上最大的上市公司并购重组项目。

本次交易涉及三地五个上市公司联动，合并双方分别为上交所主板上市公司和深交所主板上市公司，中航电子控股股东中航科工为香港联交所上市公司，募集资金认购方中航沈飞和航空投资的控股股东中航产融为上交所主板上市公司。

Jia Yuan led on China Avionics Systems’s Restructuring project

Jia Yuan Law Offices has advised China Avionics Systems on its $7 billion restructuring project with AVIC Electromechanical Systems.

The transaction involves the linkage of five listed companies in Shanghai, Shenzhen and Hong Kong. Jia Yuan addressed in one press release that the project may become the largest M&A and restructuring project in A-share market this year and the largest project in the history of defence and military industry sector.
