德国化学公司巴斯夫近日与中国锂电池能源企业湖南杉杉能源科技股份有限公司签订协议，巴斯夫将购买湖南杉杉51%股权，随后双方共同组建由巴斯夫控股的中外合资公司。大成律师事务所上海办公室代理巴斯夫参与该笔交易。

根据巴斯夫的一份新闻稿，该笔交易将使巴斯夫得以进入世界最大的电池原料市场——中国，也使湖南杉杉受益于巴斯夫的全球汽车客户网，进一步增强杉杉在中国市场的竞争力。

在获得相关批准后，合资公司预计将于今年夏末正式设立，其未来将同时生产正极活性材料（CAM）和正极材料前驱体（PCAM）。

Dentons SH on Sino-German JV of battery materials

German chemical company BASF and Hunan Shanshan, a leading lithium-ion battery materials supplier in China, have agreed to form a joint venture recently. Dentons Shanghai office acted for BASF in the deal.

According to BASF, the JV will provide the company with access to the largest battery materials market, China, meanwhile allowing Shanshan in connection with BASF’s global automotive customer network.

Closing of the transaction is targeted for later this summer following the approval of the relevant authorities.
