美国奥睿律师事务所近日代表北京谊安医疗收购了德国百年呼吸机制造商禾珥医疗，德国本地律所dhpg在交易中担任卖方律师。

根据奥睿的一份新闻稿，该收购在禾珥医疗重组期间进行，而重组项目已在三月底完成。据德国当地媒体报道，禾珥医疗于2018年10月申请了破产。

北京谊安医疗成立于2001年，是一家麻醉与呼吸医疗设备研发生产企业，同时提供手术室系统解决方案。禾珥医疗总部位于德国巴特埃姆斯，是一家拥有130多年历史并专注于生产麻醉机和医疗呼吸机的医疗设备制造商。

奥睿团队牵头律师为合伙人Wilhelm Nolting-Hauff，项目同时得到了合伙人Nikita Tkatchenko、Christoph Rödter和Stefan Schultes-Schnitzlein的协助。

Orrick on Sino-German medical device manufacturer M&A

Orrick, Herrington & Sutcliffe has advised China anesthesia and respiration equipment producer, AEONMED Group, on its acquisition of German medical device manufacturer Heyer Medical AG, with local firm dhpg advising the seller.

According to Orrick, the acquisition took place during the course of the restructuring of Heyer Medical AG, which was brought to an end in late March 2020. Local media reported that the seller filed for bankruptcy in October 2018.

Founded in 2001, Beijing-based AOENMED Group focuses on R&D and manufacture of anesthesia, mechanical ventilation medical devices and providing other solutions for operating rooms. Meanwhile Heyer Medical AG, based in Bad Ems, is a medical device manufacturer with more than 130 years of experience in healthcare technology.

The Orrick team was led by partner Wilhelm Nolting-Hauff, with assistance from partners Nikita Tkatchenko, Christoph Rödter and Stefan Schultes-Schnitzlein.
