中国国家电网收购阿曼国家电网公司49%股权交易近日完成交割，收购额约为10亿美元。安理国际律师事务所担任中国国家电网法律顾问，史密夫斐尔律师事务所及阿曼当地律所Al Busaidy, Mansoor Jamal & Co则为卖方提供了法律意见。

该项目是中国企业对阿曼迄今为止的最大单笔投资，也是中国国家电网首次在中东地区成功投资运营电网企业。安理国际律师事务所在一份新闻稿中表示：“该笔交易在中国‘一带一路’倡议中具备里程碑意义，也表明了阿曼政府在能源领域对外国直接投资的开放态度。”

安理国际律师事务所团队牵头律师为北京办公室合伙人李岭，并由伦敦办公室合伙人Andrew Schoorlemmer及悉尼办公室合伙人Jason Gray提供协助。

汇丰及拉扎德分别担任中国国家电网及安曼国家电网的财务顾问。

A&O, HSF lead on $1 bln Sino-Omani M&A deal to date

Allen & Overy has advised State Grid Corporation of China on its landmark acquisition of a stake in Oman Electricity Transmission Company for circa $1 billion, with Herbert Smith Freehills and local firm Al Busaidy, Mansoor Jamal & Co advising the seller.

The project is the largest single Chinese investor in Oman to date, as well as the first investment into grid company in the Middle East by a Chinese company. “The deal marks an important milestone in China's Belt and Road Initiative and also demonstrates the Omani Government's openness to foreign direct investment in the energy sector.” Allen & Overy commented in one press release.

The Allen & Overy team was led by Beijing corporate partner Ling Li, with assistance from London corporate partner Andrew Schoorlemmer and Sydney partner Jason Gray.

Lazard was the financial adviser for the seller, while HSBC advised State Grid.
