2021年1月28日，广州市方圆房地产发展有限公司（“方圆集团”）于新加坡交易所成功发行本金总额3.4亿美元的高级债券。通商律师事务所、盛德律师事务所担任发行人律师；竞天公诚律师事务所、谢尔曼·思特灵律师事务所则为联席账簿管理人兼初始买家提供法律意见。

方圆集团成立于1997年，总部位于广州，是一家以房地产开发投资为核心业务的大型企业集团。本次方圆集团发行本金总额3.4亿美元于2023年到期之年利率为13.6%的高级债券，包括根据交换要约发行的2.3625亿美元债券以及同步新发行的1.0375亿美元债券。

Sidley, Shearman led on Fineland’s $340mln senior notes issuance

Guangzhou Fineland Real Estate Development has issued $340 million 13.6% senior notes due 2023. Sidley Austin and Commerce & Finance Law Offices advised the issuer, while Shearman & Sterling and Jingtian & Gongcheng advised the Joint Lead Managers and Joint Bookrunners, who were also the initial purchasers. 

Established in 1997, the Guangzhou-headquartered Fineland is a large real estate development enterprise. The issued senior notes included $236 million notes in connection with the exchange offer and $104 million notes newly issued.

The Jingtian team was led by partner Xuan Zhou, and the Shearman team was led by partner Alan Yeung.
