本周,比亚迪宣布其控股子公司比亚迪电子与捷普新加坡签署框架协议,拟以约158亿元人民币(约22亿美元)现金,收购卖方位于成都、无锡的产品生产制造业务,包括现有客户的零部件生产制造业务。根据万得数据,此次并购也是比亚迪有史以来最大的一次并购。

据悉,比亚迪电子是比亚迪的控股子公司,其业务涵盖智能手机、平板电脑、新能源汽车、智能家居、通信设备、医疗健康设备等多元化的市场领域。捷普新加坡则是纽约证券交易所上市公司捷普的全资子公司。
此次收购将帮助比亚迪进一步扩大其产业链上下游的掌控力,尤其是在新能源汽车行业掌握核心技术和零部件生产的能力。

KWM and Skadden on BYD’s $2.2 bln merger deal with Jabil
BYD has announced this week that its subsidiary, BYD Electronic, has signed a definitive agreement with Jabil Inc. to acquire Jabil's mobile electronics manufacturing business in the APAC region, located in Chengdu and Wuxi, for a cash consideration of $2.2 billion. According to Wind Data, this acquisition marks the largest purchasing deal ever for BYD.
King & Wood Mallesons acted as legal counsel to BYD in the transaction, while Skadden, Arps, Slate, Meagher & Flom provided legal advice to Jabil.
BYD Electronic, a subsidiary of BYD, operates in diverse markets, including smartphones, tablets, new energy vehicles, smart homes, communication devices, and medical and health equipment. Jabil Singapore is a wholly-owned subsidiary of Jabil Inc., a world-renowned manufacturing solutions provider listed on the New York Stock Exchange.
This acquisition will help BYD further expand its control over the industrial chain, particularly in the new energy vehicle industry, where it will gain core technology and component production capabilities.
