Skadden, Arps, Slate, Maegher & Flom and Kirkland & Ellis are acting on the planned IPO by Chinese logistics company ZTO Express on the New York Stock Exchange later this month. 

The IPO could raise as much as $1.5 billion, which would make it the largest by a Chinese company in the U.S. since that of Alibaba in 2014. According to a ZTO regulatory filing, it expects to sell 72.1 million American depositary shares in the range of $16.50 to $18.50. 

Skadden, Arps, Slate, Maegher & Flom is ZTO’s U.S. counsel while Zhong Lun Law Firm is handling the offering’s Chinese law aspects. The IPO’s lead underwriters, Morgan Stanley and Goldman Sachs, are being advised by K&E on U.S. law as well as JunHe Law Offices on Chinese legal matters. 

Offshore firm Maples and Calder is also involved in the transaction, advising on the IPO’s Cayman Island elements. 

Hong Kong partners Julie Gao and Haiping Li are leading Skadden’s team, while the K&E team is headed by corporate partners David Zhang, Benjamin Su and Steve Lin. Partner Richard Spooner is overseeing the IPO for Maples.  

ZTO said in its IPO prospectus that it delivered around 14 percent of all parcels in China in 2015. The Shanghai-headquartered company has around 7,700 network partners and 74 sorting centres.
