Tian Yuan Law Firm and Haiwen & Partners have advised Shenzhen-listed cinema chain operator, Wanda Film Holding, on its acquisition of 95.7683% stake in Wanda Media for a consideration of $1.55 billion. 

This transaction has been approved by China Securities Regulatory Commission on Feb. 27.  After this transaction, Wanda's film and television production, distribution and exhibition businesses will all be housed under one corporate shingle, and it also adds the development and operation of online games into its core business too.

This is a milestone deal for China's private companies in film and culture sector as Wanda Film became the first one that got approved by China Securities Regulatory Commission via M&A and restructuring in recent years. 

The Tian Yuan team represented Wanda Film and was led by Beijing partners Yan Liu and Huiyan Chen.

Haiwen & Partners provided the legal service to the independent financial consultant China International Capital Corporation Limited in this project. Haiwen team was led by partners Su Liu, Pei Wang, and Ryan Ren.

天元、海问助力万达电影15.5亿美元重大资产重组成功过会

天元律师事务所和海问律师事务所为万达电影股份有限公司发行股份购买万达影视传媒有限公司股权项目提供法律服务。本次交易的标的资产为万达影视95.7683%股权，交易价格约为15.5亿美元（105亿元）。

万达电影的本次重大资产重组于2月27日获得中国证监会审核通过。通过本次交易，万达电影主营业务将扩展至电影和电视剧的投资、制作和发行，以及网络游戏发行和运营领域。

该交易是近年来通过并购重组审核的唯一一家民营影视文化企业。
