近日，中国长江三峡集团欧洲公司签署了收购位于西班牙东南部穆尔西亚自治区Refraction光伏电站的协议，交易对手方为加拿大投资公司Northleaf Capital Partners，以及欧洲投资公司Qualitas Energy。
A&O Shearman在交易中为三峡集团提供法律意见；华盛国际律师事务所西班牙办公室则代表卖方参与交易。
根据彭博社消息，Refraction光伏电站是欧洲规模最大的光伏电站之一，其估值约为4.3亿欧元。
三峡欧洲公司主要负责欧洲区域清洁能源投资开发和运营，其于2020年进入西班牙市场，目前是西班牙排名前十的新能源开发商。彭博指出，三峡欧洲公司将伊比利亚半岛视为战略性地区，当前清洁能源资产在欧洲受到投资者关注，三峡集团早前考虑竞标西班牙可再生能源公司Saeta Yield，但该标的最终被阿布扎比清洁能源企业Masdar购入。
该项目A&O Shearman团队由北京合伙人李岭、顾问何曌，以及马德里合伙人Inigo Del Val、顾问Pablo Mendez牵头，同时得到多个办公室律师协助。
A&O Shearman, WFW on CTG’s acquisition of clean energy asset in Spain
A&O Shearman has advised China Three Gorges Corporation (CTG) on its acquisition of NCP Mula Solar Spain from Canadian investment firm Northleaf Capital Partners and Spanish investor Qualitas Energy, with Watson Farley & Williams’ Madrid office advising the sellers.
According to Bloomberg, the deal values the Mula plant in Murcia, one of Europe’s largest, at about $449 million, including debt. Northleaf holds an 81% stake in the project, while Spanish fund Qualitas Energy owns the rest.
CTG’s Europe company primarily focuses on the investment, development, and operation of clean energy projects in the European region. Since entering the Spanish market in 2020, it has become one of Spain's top ten renewable energy developers.
The acquisition will allow CTG to build on its position in the Iberian region — a market it regards as strategic — at a time when clean-energy assets are drawing investors’ attention across Europe. The Chinese company had previously considered a bid for Spanish clean-energy producer Saeta Yield SA, which was finally bought by Masdar, says Bloomberg.
The A&O Shearman team was led by partner Ling Li and counsel Lucia He in Beijing, and partner Inigo Del Val and counsel Pablo Mendez in Madrid, with support from senior associates and specialists across multiple disciplines and offices.
