Davis Polk & Wardwell has advised CNOOC Ltd on its $4 billion bond sale, the largest issuance ever by a Chinese company, while Linklaters represented the underwriters.

The Chinese energy company issued $750 million 1.125 percent notes due 2016, $750 million 1.75 percent notes due 2018, $2 billion 3 percent notes due 2023, and $500 million 4.25 percent notes due 2043.

Davis Polk & Wardwell’s team consisted of Hong Kong corporate partners James Lin, Eugene Gregor and Antony Dapiran, New York tax partner Lucy Farr, and Washington DC partner John Reynolds III.

Linklaters and Commerce & Finance Law Offices advised the underwriters – Bank of China, CICC, Citigroup, Credit Suisse, Goldman Sachs, J.P. Morgan, Merrill Lynch, UBS, CCB International Capital, ICBC, and Société Générale.

Walkers counseled CNOOC on British Virgin Islands law.
