Skadden, Arps, Slate, Meagher & Flom, Han Kun Law Offices, Maples and Calder, Li & Partners, Davis Polk & Wardwell and Jingtian & Gongcheng have advised on Baidu Inc’s $1 billion SEC-registered offering.

Nasdaq-listed Baidu is the leading Chinese-language Internet search provider. J.P. Morgan Securities and Goldman Sachs (Asia) served as joint bookrunners and representatives of the underwriters.

On the transaction, Skadden acted as the issuer’s counsel to U.S. law, Han Kun as to PRC law, Maples and Calder as to Cayman Islands law and BVI law, and Li & Partners as to Hong Kong law. Davis Polk and Jingtian & Gongcheng advised the joint bookrunners and underwriters on U.S. and PRC law respectively.

The Skadden team was led by Hong Kong partners Julie Gao and Jonathan Stone. Partners Charles Li and Tracy Zhou led the Han Kun team, while partners Gareth Griffiths and Greg Knowles headed the Maples team. 

Davis Polk deployed lawyers from its Hong Kong and London offices, including corporate partner James Lin, registered foreign lawyer Tae-Hun Kim, and tax partner John Paton.
