中国海洋石油有限公司（以下简称“中海油”）于今日在上海证券交易所上市，募资约281亿元。德恒律师事务所、达维律师事务所为发行人提供法律意见，锦天城律师事务所则担任保荐人法律顾问。

中海油于1999年在香港特别行政区注册成立，主要业务为原油和天然气的勘探、开发、生产及销售，是中国最大的海上原油及天然气生产商。中海油曾在2001年登陆香港、纽约证券交易所，并于2013年在加拿大多伦多证券交易所挂牌上市。

德恒团队由合伙人罗书键律师、赵怀亮律师担任主要负责人。锦天城团队由高级合伙人朱林海律师领导，并由高级合伙人王立律师、沈诚律师、鲍方舟律师，合伙人杨继伟律师、邱梦赟律师协助。达维团队则由合伙人褚洋律师领导。

此次上市项目中，中信证券担任保荐人，中金公司、中银证券则担任联席主承销商。

Davis Polk, DeHeng, AllBright act on CNOOC’s $4.38 bln listing in Shanghai

Davis Polk and DeHeng Law Offices have advised CNOOC Limited on its $4.38 billion listing in Shanghai, with AllBright Law Offices advising the sponsor.

CNOOC was founded in Hong Kong SAR in 1999, focusing on the exploration, development, production and selling of crude oil and natural gas. It is the largest offshore producer of crude oil and natural gas in China. CNOOC launched IPO in Hong Kong and New York respectively in 2001, and became listed in Toronto in 2013.

The DeHeng team was led by partner Luo Shujian and Zhao Huailiang. The AllBright team was led by senior partner Zhu Linhai, assisted by senior partners Wang Li, Shen Cheng, Bao Fangzhou, as well as partners Yang Jiwei and Qiu Mengyun. 

The Davis Polk team was led by partner Chu Yang.

CITIC Securities acted as the sponsor, with CICC and BoC International acting as the joint underwriters.
