
3月10日,中国最大的民营黄金生产商赤峰吉隆黄金矿业股份有限公司(赤峰黄金)在香港联交所主板成功上市,募资约28亿港元,成为香港联交所上市的第三只“A+H”黄金股。
发行人方面,天元律师事务所担任中国律师,欧华律师事务所担任香港及美国律师,REM Law Consultancy提供加纳法服务,ZICOLaw (Laos) Sole Co., Ltd.则提供老挝法服务。
君合律师事务所、年利达律师事务所为独家保荐人中信证券提供法律意见。
赤峰黄金于2005年成立于内蒙古赤峰,主要从事全球范围内的黄金开采、加工和销售业务,在全球拥有并经营七个金矿与多金属矿。赤峰黄金主要通过六个金矿开展黄金生产业务,包括:中国的吉隆金矿、五龙金矿、锦泰金矿、华泰金矿;老挝的塞班金铜矿;加纳的瓦萨金矿。
2012年,赤峰黄金借壳ST宝龙登陆上交所主板;2013年,其收购了辽宁五龙黄金矿业;根据瑞恩消息,2022年10月,公司曾公告拟发行GDR并在瑞士证券交易所上市,不过于2023年8月公告终止发行GDR。
赤峰黄金表示,所募集资金将主要用于扩大境内外业务,其中应包括公司计划中的老挝稀土资源开发项目。

Linklaters, DLA Piper on Chifeng Gold’s $363 mln HK listing
DLA Piper, Tian Yuan Law Firm have advised China’s largest non-state owned gold producer Chifeng Chifeng Jilong Gold Mining (Chifeng Gold) on its $363 million initial public offering in Hong Kong, with Linklaters, JunHe acting as legal counsel to the sole sponsor CITIC Securities.
REM Law Consultancy, ZICOLaw (Laos) Sole advised the issuer on Ghana law and Laos law issues, respectively.
This IPO represents the third “A+H” gold stock on the HKEX.
Chifeng Gold was founded in 2005 in Chifeng, Inner Mongolia, and is primarily engaged in gold mining, processing, and sales worldwide. The company owns and operates seven gold and polymetallic mines across the globe. Chifeng Gold conducts its gold production through six key mines, including Jilong Gold Mine, Wulong Gold Mine, Jintai Gold Mine, and Huatai Gold Mine in China; Sepon Gold-Copper Mine in Laos; and Wassa Gold Mine in Ghana.
In 2012, Chifeng Gold went public on the Shanghai Stock Exchange's main board through a reverse merger with ST Baolong. In 2013, it acquired Wulong Gold Mining in Liaoning. According to Ryanben Capital, in October 2022, the company announced plans to issue Global Depositary Receipts (GDRs) and list on the Swiss Stock Exchange. However, in August 2023, it announced the termination of the GDR issuance.
Chifeng Gold stated that the funds raised were primarily intended to expand its domestic and international operations, including its planned rare earth resource development project in Laos.
