近日,中国美妆公司毛戈平化妆品在香港联交所主板成功上市,募资约3亿美元,成为“国货彩妆第一股”。
竞天公诚律师事务所、高伟绅律师事务所作为发行人律师参与交易;天元律师事务所、普衡律师事务所则为保荐人中金公司提供法律意见。
毛戈平化妆品于2000年创立于杭州,其创始人毛戈平曾是中国最知名的化妆师之一。公司主要从事彩妆、护肤系列产品的研发、生产、销售及化妆技能培训业务。
根据雷递网的消息,毛戈平曾准备在A股上市,原计划募资11.2亿元,但2024年1月初被终止上市,并于几个月后转战港股。
根据安永的数据,港股IPO数量在2024年下半年出现了明显反弹,有望成为今年全球第四大交易所。截止11月30日,今年共有64支新股登陆港股,募资额超过834亿港元,比去年增长了80%。
毛戈平项目中,天元团队由北京办公室资深合伙人汪相平及广州办公室管理合伙人兰志伟牵头负责。
高伟绅团队由中国业务主席王彦峰、合伙人张珮真和向天宁共同领导。
普衡团队由大中华区创始合伙人兼主席李曙峰牵头,公司业务部合伙人樊超波、徐家铮及刘李依共同领导。
Paul Hastings, CC on Mao Geping’s $300 listing in HK
Clifford Chance and Jingtian & Gongcheng have advised Chinese cosmetics company Mao Geping on its $300 million initial public offering in Hong Kong, with Paul Hastings and Tian Yuan Law Firm acting for the sole sponsor China International Capital Corporation (CICC).
Founded in 2000 in Hangzhou by renowned Chinese makeup artist Mao Geping, the company focuses on the development, production, and sale of makeup and skincare products, as well as makeup training services. It has become the first publicly traded domestic Chinese makeup brand.
According to local media, Mao Geping initially planned an A-share listing to raise RMB 1.12 billion yuan but switched to a Hong Kong IPO after the A-share listing was terminated in January 2024.
EY data shows a significant rebound in Hong Kong IPOs in the second half of 2024, positioning it as the fourth-largest exchange globally by IPOs this year. As of November 30, Hong Kong had hosted 64 IPOs in 2024, raising over HK$83.4 billion—an 80 percent increase compared to the previous year.
