近日，中国机械工业集团有限公司（ “国机集团”）的全资子公司中国机械工业工程集团有限公司（“中国机械工业”）以吸收合并方式对中国机械设备工程股份有限公司（ “CMEC”）完成私有化。金杜律师事务所担任国机集团和中国机械工业的中国法律顾问；贝克•麦坚时律师事务所为国机集团的财务顾问中金公司提供法律意见；高伟绅律师事务所担任中设集团的法律顾问。

国机集团成立于1988年，总部位于北京，主营业务涉及机械装备研发与制造、工程承包、贸易与服务、金融与投资。CMEC成立于1978年，以国际工程业务、成套设备业务为核心业务。2012年，CMEC赴港上市。随着此次私有化交易的完成，CMEC已从港交所退市。

Baker and CC led on the privatisation of CMEC

China Machinery Engineering Group Corporation (CMEGC), a wholly-owned subsidiary of China National Machinery Industry Corporation Ltd (SINOMACH) privatised the Hong Kong-listed China Machinery Engineering Corporation (CMEC) by way of merger by absorption. King & Wood Mallesons advised SINOMACH and CMEGC, with Clifford Chance advising CMEC. Baker McKenzie advised SINOMACH’s financial advisor CICC.

SINOMACH was established in 1988 and headquartered in Beijing, focusing on the manufacturing of machinery equipment, construction, trade and services, and finance and investment. CMEC was established in 1978, and the company’s core business includes international construction and sales of matched equipment. CMEC was listed in Hong Kong in 2012 and has been delisted from the market following the completion of this privatisation.
