今年,ALB继续关注于华南地区,即广东、广西、福建、海南市场上成绩卓越的律师事务所、引领未来发展方向的青年律师才俊。同时,今年的榜单新增“客户首选律师”排名,呈现在专业能力之外,以贴心服务获得客户青睐的华南律师。
华南地区拥有粤港澳大湾区、海南自贸港两大引擎,过去一年继续在中国经济及社会发展中扮演重要角色,也促使华南法律服务市场持续发展。
在此背景下,今年,ALB China华南地区榜单相应“扩容”。共有35家律所登上榜单,律师新星则提升至30人;此外,全新推出的客户首选律师榜单迎来15位律师亮相。
ALB和部分上榜律所展开对话,了解了过去一年华南市场面临的挑战、律所的化解之道,以及他们下一步在该市场的发展策略。
挑战之年
华南法律市场当下发展离不开的关键词就是“挑战”,上榜律所对此感受颇深。
在华南,国枫律师事务所目前设立有一家深圳分所,在资本市场等业务领域引领市场发展。国枫执行合伙人、深圳办公室执行主任孙林律师坦言,过去两年,“我们坚持证券发行、兼并收购及投融资主业,在为客户资本运作排忧解难的同时,又肩负‘看门人’责任;随着资本市场稳步进入严监管时代,两者之间的平衡给律所发展带来前所未有的挑战”。
对此,国枫深圳“因时制宜地对业务方向作出调整”,采取的措施包括:在上市公司退市制度愈加严格的背景下着重提示并帮助客户化解退市危机;面对证券虚假陈述案件数量连年增长,积极参与相关案件代理;强化对于企业追加融资、PE/VC投资退出等事项的服务。
此外,“对于潜在业务,我们不再像早年那样抱以‘酒香不怕巷子深’的心态,而是充分参与品牌建设和市场竞争,对于新客户不吝展示‘国枫出品’的精良和知名机构的评级认可,对于原有客户也实时同步我们的新发展、新成长”。
锦天城律师事务所目前在华南拥有五家分所,其中深圳分所设立已近20年,“是较早落地深圳的全国性律所,在华南地区耕耘了快20年了”,深圳分所管委会委员李立坤律师告诉ALB。
成立以来,从最初的传统业务,到如今在市场上极具辨识度的资本市场、企业并购、争议解决、跨境法律服务、家事财富传承等业务,借助深圳这座城市的创新特质及独特优势,锦天城深圳分所经历了一条从“同质性”向“差异化”的发展之路。
李律师坦言,近期由于市场不确定性增强,“企业基于经济周期、节约成本等原因而缩减法律预算,有些企业则彻底退出市场,客户面临诸多挑战的同时,律所作为服务机构,自然也面临挑战”。
对此,深圳分所主要从几方面积极应对。“首先是稳住第一梯队业务的业绩,继续把专业做扎实,同时加大客户挖掘力度,积极开发所内市场,协助同事合作开发IPO、并购等业务。在非诉讼业务受影响的同时,我们也留意到争议解决业务的数量及比重在相对上升。作为综合性的律所,过去一年,我们广泛参与各市场主体、行业协会、机构等组织的市场活动,获取市场信息,参与探讨市场热点,提前做好业务布局。”
其次,是通过“强化内部管理来提升战斗力,树立业务标杆,包括优先为符合条件的年轻律师提供上升空间、激发他们的潜力和积极性;以及持续引进优秀律师及合伙人。我们始终相信:专业只有通过‘扎堆效应’才能够产生最好的效果。适度规模化的专业团队能够更有力地展示律所服务差异,帮助我们保持理想的市场占有率和业务增长率”,第三,通过“利用团队制的管理优势,进行具有前瞻性的业务布局,未雨绸缪,提前对市场进行开发和培育,对于业务板块进行优化”。李律师说。
炜衡律师事务所也是一家活跃于华南市场的全国性律所,其目前布局了八家华南分所,且2023年以来相继设立或即将设立前海、香港、中山、南沙四家分所。
谈到背后原因,炜衡华南地区区域主任、深圳所主任黄书敏律师告诉ALB:“华南地区拥有粤港澳大湾区和海南自贸港两大引擎,兼具经济实力、区域优势和区域间的协同发展,诸多业务机遇都亟待律所发现并配套进行业务布局。炜衡进一步完善在华南区的服务网络,表明了我们深度开拓华南市场的经营思路与决心。”
当然,华南市场的挑战也客观存在,“主要体现在客户的支付能力变差、支付意愿变弱两个方面。上述现象导致法律服务市场竞争日益激烈,由此带来的恶性低价竞争也愈演愈烈”,黄律师说。
对此,炜衡拒绝“内卷”,而关注于提升自身服务水平、培育新的竞争力。“我们倡导律师发现并挖掘新的业务增长点,研发市场刚需的法律服务产品,如企业家法律保护、数据法律服务等,深受市场欢迎。在服务模式方面,我们深化团队服务,为当事人提供全方位的保姆式服务。”
作为本地律所中的头部品牌,广悦律师事务所也坦言自2023年以来遭遇到不小挑战。为此,“广悦通过向内深耕,向外拓展,实现了业务升级和转型”,广悦主任杨杰律师介绍道。
具体来说,“我们调整所内分工模式,在2023年取消了过往的‘部门’,形成‘领域’,进一步强化专业化分工,实现垂直深耕和纵深拓展,扩大特色领域的团队规模”;
“第二,广悦积极开拓新的业务领域,例如2023年引进两位高级顾问曾磊和张鑫,他们都曾就职于腾讯,加入广悦后,开拓了‘出海企业跨境数据合规’这一新兴领域;同时,我们整合境内外办公室,创新性地打造了广悦家族办公室,整合法律、财税、子女教育及身份规划、家族信托、投顾等领域,建立财富保护和传承整体解决方案的服务模式,提供一站式家办服务。”杨律师说。
本地律所品牌连越律师事务所今年首次登上ALB China华南地区榜单。回望过去几年,连越告诉ALB,通过执行第一个五年发展计划,律所目前人员规模达340人,全所共设20个法律业务部门、八个专业委员会,业务收入即将突破1.8亿元,并揽获了多项行业大奖。
2023年,虽然挑战重重,但站在“品牌重塑第一个五年节点”的连越在总结成功经验的基础上,再度出台了未来五年的发展目标,并持续加大在青年律师培养、专业化建设、品牌建设、文化建设等方面的投入。
迎向变化
面对市场挑战,上榜华南律所积极回应以创新策略,稳固住机构发展基本盘的同时,也不断寻找新的业务增长点。
锦天城的李立坤律师告诉ALB,一家事务所“一定要考虑到业务周期的问题,构建完善的律所业务发展体系,无论经济环境如何,总能有恰当的业务板块支撑律所的稳健发展”。
以深圳分所为例,在目前的宏观环境之下,有三个业务板块焕发出一定的逆周期实力。“其一是破产清算业务,在业内已经小有名气,国内第一单个人破产的经典案例就是锦天城深圳分所担任管理人;其二是跨境业务,华南办公室具有独特的地理优势,伴随越来越多中国企业寻找出海机会,华南办公室的合伙人也积极参与锦天城香港、东京、新加坡等办公室的设立工作,与当地律师组成团队,为客户提供出海相关合规、并购、争议解决等一揽子服务。”
另一个发展潜力可观的是家事及财富传承业务。李律师指出,伴随中国第一代企业家进入传承阶段,继承人培养、婚姻安排、家事纠纷等相关服务市场近期相当活跃,“锦天城深圳分所的家事业务已经在华南地区积累起领先的市场影响力……我们发现,一些企业家由于不太注重整体的传承规划,等到事发时才‘狼狈应对’,希望锦天城未来能够帮助更多企业家化解矛盾,实现家族基业长青”。
广悦的杨杰律师也特别提到“出海”业务为律所带来的服务机会。“中国企业寻求海外市场过程中涉及到的法律问题日益复杂多样。广悦作为一家具有丰富涉外法律服务经验的律所,能够为中国企业提供全方位、专业化的法律服务。”
“目前广悦的涉外服务类型主要有海事海商、海外投资、数据出境合规、海外办厂员工管理、涉外知识产权、跨境交易、跨境争议解决等;服务区域主要集中在香港、美国、泰国、澳洲、日本、土耳其等地。广悦目前在洛杉矶、曼谷、悉尼、东京均设立了办公室,并与多个国家和地区的律所建立紧密的合作关系,能够为客户提供本地化的法律服务。”杨律师介绍道。
在国枫,孙林律师说,和国枫的整体发展策略一致,深圳分所近年的发展历程中也贯穿以“有限、多元”的路线,以资本市场业务为根本的布局已适度延伸到基金、劳动、金融、知识产权、刑事合规、民商事争议解决等方面。“近年来深圳分所其他专业部门与资本市场团队精准协同,互补共赢的生态日渐成熟,‘联合出品’也收获了不错的客户口碑。”
孙律师继而指出,“除了业务领域的衔接,我们的‘多元’还体现在一个特殊方面:深圳在粤港澳大湾区发挥着‘深港融合’的作用,作为国枫离香港最近的分所,我们不但与国枫香港分所保持着密切联动,与注册在香港的其他国际所、本土所也有着广泛合作,能够在涉及香港法律的业务中突破执业法域的限制,快速生成一站式解决方案”。
未来计划
由于华南地区承载着多项国家重点战略,纵使面对暂时挑战,律所们依旧相信于华南地区的潜力,也将以不同形式继续投入于自身在该地区的发展。
黄书敏律师说,炜衡下一步在华南地区的发展将重点关注两个领域:“一是围绕海南自贸区、广东自贸区(蛇口、南沙、横琴)的新政策研发相关法律服务产品,例如制定针对这些自贸区的税务咨询、知识产权保护、企业法律合规服务等,用针对性服务助力客户在自贸区中取得成功并保持竞争优势。”
“二是围绕‘一带一路’及企业走出去的战略提供法律服务。海深港现代合作区的建设目标是‘依托香港、服务内地、面向世界’,前海及香港办公室可以作为炜衡的对外窗口,大大增强涉外团队律师的规模及业务能力,使涉外业务成为炜衡的又一个增长点。”
李立坤律师告诉ALB,作为锦天城全球布局的一部分,未来华南地区仍将是锦天城重点耕耘的市场之一。具体到深圳分所,一方面,深圳作为大湾区核心城市,毗邻港澳,除市场领先的业务板块外,深圳分所要继续开拓涉港澳及涉外业务;另一方面,“大湾区作为示范区,我们也应伴随开拓示范性法律业务,尤其在金融服务、物流、知识产权、创新型企业服务等方面展开探索”。
此外,深圳分所还希望持续在深圳及华南地区扩大锦天城品牌的认可度。“我们已经连续六年主办‘锦天城讲堂’,邀请重量级专家学者就当年的专业热点话题展开研讨,活动面向社会开放,让更多人受惠于专家思维的同时,也提升了品牌影响力、体现了律所的社会责任。”李律师说。
孙林律师则说,未来几年,国枫在华南将围绕主线、适度多元,在持续为资本市场业务添砖加瓦、为实力派优质企业资本运作整装蓄势的同时,构建“资本市场法律服务+”的发展新模式。
“国枫将进一步利用好华南开放的区域优势、发挥跨境业务专长,为中国企业在境外,特别是港交所上市提供专业服务和资源链接,为中国企业合规出海和产业落地保驾护航等等;我们也将紧跟新科技革命步伐,通过AI技术完善知识管理和数据检索系统,快速输出工作成果、优化业务及人员的日常管理和交互协作。”
“国枫也将在规模化道路上向前一步,在华南地区明确落子广州,谨慎论证和商洽海南、福建等地分支机构的设立,通过搭建分所矩阵提升品牌影响力和市场占有率,以本土化服务带给客户更好的体验感。”孙律师说。
在下一个五年计划的指引下,连越在未来发展中将“多措并举……首先出台人才引进方案,积极引荐数据合规、新经济法律服务等领域的专长律师或团队;二是设立联合创新法律中心,孵化更多优秀的律师专业型人才或团队;三是建立品牌与宣传委员会,完善连越系列品牌活动规划,组织策划各种提升品牌影响力的活动,进一步提升连越在行业的影响力;四是实现核心业务领域标签化的全覆盖,突出主流业务领域头部律师团队专业形象。”
广悦的杨杰律师则告诉ALB,未来在做深做实华南市场的基础上,广悦筹划开设香港、新加坡、罗马办公室,进一步将华南律所品牌带到更广泛的市场中。
“广悦的发展战略一直是‘立足湾区,面向世界’。香港、新加坡、罗马等地拥有成熟的法律体系和丰富的法律服务市场,与广悦的专业领域和服务类型高度契合。通过设立办公室,广悦能够构建起覆盖全球主要经济体和新兴市场的涉外法律服务网络,这不仅有助于广悦更好地服务中国企业的全球化发展,也能够吸引更多的国际客户,提升广悦在全球的影响力和竞争力。”杨律师说。
2024 ALB China Regional Ranking: South China Firms, South China Rising Lawyers, South China Client Choice
ALB continues to highlight firms with outstanding achievements in South China, specifically in the Guangdong, Guangxi, Fujian, and Hainan provinces, as well as the young lawyers there who are shaping the future of the profession. Additionally, this year's list introduces a new 'Client Choice' ranking to showcase lawyers in South China who have, beyond their professional competence, endeared themselves to clients through their high level of service.
Leveraging the dual growth engines of the Guangdong-Hong Kong-Macao Greater Bay Area and the Hainan Free Trade Port, South China has continued to play a crucial role in driving China's economic and social progress over the past year. This momentum has significantly strengthened the region's market for legal services.
In reflection of these trends, this year's ALB China South China rankings have expanded. The list now includes 35 firms, with the number of emerging lawyers reaching 30, and the recently introduced Client Choice ranking highlighting 15 distinguished lawyers.
ALB has reached out to several of the top-performing firms to discuss their experiences over the past year, delving into the challenges they have encountered in the South China market, their strategic responses, and their plans for future growth in this economically vibrant area.
YEAR OF CHALLENGES
The concept of "challenge" is undeniably central to the ongoing evolution of South China's legal services market, a reality keenly experienced by the firms featured in the rankings.
Grandway Law Offices, with its sole branch in Shenzhen, is at the forefront of market development in areas such as capital markets. Sun Lin, the executive director of the Shenzhen office, conveys that in the past two years, "our focus has remained on core practices like securities issuance, mergers and acquisitions, and investment financing, while also playing the critical role of gatekeeper in China's capital markets. As the market shifts toward tighter regulation, our firm has faced unprecedented challenges in balancing these responsibilities and sustaining growth."
To adapt, the Shenzhen office has recalibrated its business strategy to the evolving market conditions. Measures include navigating clients through a more stringent delisting system, actively handling the rise in securities misrepresentation cases, and bolstering support for corporate financing and exit strategies for PE/VC investments.
"We have moved away from the notion that 'Good wine needs no bush.' Instead, we are now proactively engaged in brand building and market competition, keen to showcase our exceptional services and the high recognition from renowned rating agencies to potential clients. We also ensure our existing clients are kept abreast of our latest developments and growth," Sun adds.
AllBright Law Offices has cemented its position in South China with five branches, including the Shenzhen office, which has been active for nearly two decades. "As one of the first national firms in Shenzhen, we have a strong, long-standing presence in South China," states Li Likun from the Shenzhen office's management committee.
The Shenzhen branch has evolved from offering traditional legal services to specializing in capital markets, corporate mergers and acquisitions, dispute resolution, and cross-border services. This strategic shift has leveraged Shenzhen's innovative spirit and unique regional benefits.
Li acknowledges the market uncertainties that have led companies to cut legal budgets or exit the market, posing significant challenges for law firms. In response, the Shenzhen office has focused on stabilizing and strengthening core business areas, improving client development, and supporting colleagues in developing IPO and other services. "We have been active in industry association events to discuss current issues and strategize," Li explains.
Moreover, the office is increasing its competitive edge by bolstering its internal management. This effort includes prioritizing the professional development of promising young lawyers and consistently attracting top-tier associates and partners. "We subscribe to the philosophy that professional excellence is realized through a 'cluster effect.' A robust, specialized team enables us to effectively showcase our service distinctions, supporting the maintenance of our desired market share and growth rate."
W&H Law Firm, a notable national entity, presently runs eight offices in South China and has been setting up four new offices in Qianhai, Hong Kong, Zhongshan, and Nansha since 2023. Huang Shumin, the South China Regional Director and head of the Shenzhen office, describes the firm's expansion strategy during these challenging times to ALB: "South China, the powerhouse of the GBA and Hainan FTP, is ripe with economic vitality, regional benefits, and collaborative potential across regions. The abundance of business prospects is a call to law firms to strategically position themselves for the future. Our growth in service locations is indicative of our clear business direction and our deep commitment to the South China market."
Despite the region's potential, the South China market faces hurdles, mainly due to clients' decreasing ability and readiness to pay, which has intensified competition in the legal services sector and led to aggressive pricing strategies. W&H has chosen to forego excessive competition in favor of improving service quality and developing new competitive advantages. "We motivate our lawyers to seek out and capitalize on new business opportunities, and to devise legal service offerings that cater to robust market needs, such as legal safeguards for entrepreneurs and data-related legal services, which have garnered favorable reception in the market. For service delivery, we've strengthened our collaborative team approach to provide clients with all-encompassing, seamless services."
Wang Jing & GH Law Firm, a prominent local firm, has successfully navigated a host of challenges since 2023 through strategic internal capacity-building and external expansion, according to the firm's Director, Jeff Yang. "Marking a significant organizational change, we replaced traditional 'practice groups' with 'fields' in 2023, which has greatly enhanced our specialization and allowed for comprehensive capacity development. This change has also supported the growth of our specialist teams," explains Yang.
Additionally, the firm has branched out into new business domains. "This year, we welcomed two senior consultants, Zeng Lei and Zhang Xin, both of whom are ex-Tencent staffers. Their induction has spearheaded our new 'cross-border data compliance for enterprises going overseas' service area. In a pioneering move, we've also consolidated our domestic and international offices to create a Family Office. This innovative division amalgamates legal, financial, tax, children's education, residency planning, family trust, and investment advisory services, offering a holistic solution for wealth management and succession planning as part of our comprehensive family office services," Yang elaborates.
Lianyue Law Firm, making its debut in the ALB China South China ranking this year, has been reflecting on its growth over the past several years. Following its first five-year development plan, the firm now employs 340 staff members, encompasses 20 practice groups, and operates eight professional committees. With revenues on track to exceed 180 million yuan and a host of industry commendations, Lianyue considers 2023 to be a watershed year. Despite facing challenges, the firm is in the midst of its "first five-year brand upgrade" and has set forth development goals for the coming five years. These objectives include ramping up investment in the training of young lawyers, bolstering professional skills, and concentrating on brand and cultural development.
EMBRACING CHANGE
In response to the shifting landscape of the legal market, South China's law firms have adopted forward-thinking strategies to strengthen their core practices while exploring new avenues for growth. Li from AllBright conveyed to ALB the critical nature of having a resilient law firm business model that can weather economic fluctuations, ensuring the firm's sustained growth through reliable practice areas, irrespective of the prevailing economic conditions.
For instance, AllBright's Shenzhen office has focused on three practice areas that have shown counter-cyclical robustness amidst the current macroeconomic environment. "Bankruptcy liquidation has been a key practice area for us. Additionally, our cross-border services have seen expansion as more Chinese companies pursue international growth. We actively involve partners from our South China offices in collaborations with our teams in Singapore, Tokyo, and Hong Kong. These partners join forces with local lawyers to offer comprehensive services, including compliance, mergers and acquisitions, and dispute resolution to support companies' overseas expansions," Li elaborates.
The firm also sees significant potential in family law practice. "As the first generation of Chinese entrepreneurs approaches the succession phase, there's a burgeoning demand for services related to successor training and marriage arrangements. Our Shenzhen office is a leader in family law practices in South China. We've observed that many entrepreneurs previously neglected comprehensive succession planning until it became a pressing issue. Learning from this, we are now positioned to help more entrepreneurs with proactive succession planning," Li adds.
Yang from Wang Jing & GH also emphasizes the opportunities presented by the 'go global' initiative. "Chinese companies are encountering increasingly complex legal challenges as they expand abroad. Leveraging our vast experience in cross-border legal services, we're equipped to provide thorough and professional support."
"Our cross-border services extend to areas such as maritime affairs, overseas investment, data compliance, management of overseas factory employees, intellectual property, transactions, and dispute resolution. Our focus regions include Hong Kong, the United States, Thailand, Australia, Japan, and Turkey. With offices in Los Angeles, Bangkok, Sydney, and Tokyo, and through strong partnerships with firms worldwide, Wang Jing & GH offers localized legal services," Yang details.
At Grandway, Sun highlights that the Shenzhen office has adopted a "moderately diversified" development strategy, broadening its service capabilities beyond its capital markets foundation to include areas such as funds, labor, finance, IP, criminal law compliance, and civil and commercial dispute resolution. "The Shenzhen office has recently nurtured a collaborative ecosystem where various practice groups work closely with the capital markets team. This integrated 'joint delivery' model has received positive feedback from our clients," Sun notes.
He also emphasizes Grandway's unique position as a 'Shenzhen-Hong Kong integrator' within the Greater Bay Area (GBA). "As the Grandway office nearest to Hong Kong, the Shenzhen office not only maintains strong links with our Hong Kong branch but also engages in extensive collaboration with other international and local firms registered in Hong Kong. This strategic cooperation enables us to overcome the constraints of practice jurisdiction in Hong Kong law and to rapidly develop comprehensive one-stop solutions," Sun concludes.
FUTURE PLANS
In the face of ongoing challenges, law firms in South China remain optimistic about the region's prospects, thanks to pivotal national initiatives. These firms are proactively investing in their growth and development to leverage the opportunities presented by the region.
Huang from W&H Law Firm has detailed two main strategic directions for the firm's future in South China. "Our first objective is to refine our legal services to align with the new policies of the Hainan Free Trade Zone (FTZ) and the Guangdong FTZs, including Shekou, Nansha, and Hengqin. We're focusing on specialized services such as tax advisory, intellectual property protection, and corporate legal compliance to assist our clients in thriving and sustaining a competitive advantage in these FTZs."
"Additionally, we're centering our efforts on legal services connected to the 'Belt and Road Initiative' and supporting enterprises with their 'go global' strategies. Our Qianhai and Hong Kong offices will serve as gateways for cross-border legal expertise, boosting our capability in this area and positioning it as a key driver for the firm's growth."
Li from AllBright emphasizes the continued importance of South China as a strategic market for their firm. "The Shenzhen office is set to enhance business related to Hong Kong, Macao, and international markets, capitalizing on Shenzhen's strategic location in the Greater Bay Area (GBA) and its proximity to Hong Kong and Macao. We're also aiming to become leaders in sectors such as financial services, logistics, and intellectual property, benefiting from the GBA's role as a demonstration area."
Moreover, the Shenzhen office is working to raise AllBright's brand awareness in South China. "For six years running, we've organized the 'AllBright Classroom,' where we invite experts to discuss the hottest topics of the year, open to all lawyers and entrepreneurs in Shenzhen. This initiative not only disseminates expert insights but also strengthens our brand presence and fulfills our commitment to social responsibility."
Sun from Grandway has indicated the firm's intention to continue prioritizing its core practices while embracing a strategic diversification in South China, pursuing a new "capital markets legal service + model." "We aim to leverage the region's openness and our cross-border expertise to assist Chinese companies in listing abroad, particularly on the Hong Kong Stock Exchange, and to help them with their international endeavors and regulatory compliance. We're also integrating AI technology to refine our knowledge management and streamline our operations," Sun explains.
"Moreover, we plan to expand our reach by opening a new office in Guangzhou and are considering additional locations in Hainan and Fujian to grow our market presence and provide clients with localized services, thereby enhancing their experience," Sun adds.
Lianyue, following its next five-year plan, is set to implement a series of development initiatives. "We will roll out a talent acquisition strategy to attract specialists in data compliance and new economy legal services, create a joint innovation legal center to cultivate specialized lawyers, form a branding and publicity committee to improve event planning, and reinforce our professional image as leading lawyers in core practice areas."
Yang from Wang Jing & GH discloses the firm's international expansion ambitions. "Beyond solidifying our position in the South China market, we are planning to establish offices in Hong Kong, Singapore, and Rome, projecting the South China law firm brand onto a wider stage. The establishment of these new offices is in line with our strategy to maintain a strong foothold in the GBA while embracing a global outlook. This will enable us to better support the international growth of Chinese enterprises, attract international clientele, and strengthen our global influence and competitive edge."
