Ideation Acquisition Corp.( “Ideation”) 近日已完成其对SearchMedia International (“SearchMedia”)的换股、收购,交易额约为1.76亿美金。收购完成后Ideation将转变公司注册地-成为一家开曼群岛的豁免公司。

Ideation是一家公开上市的特殊目的收购公司(SPAC),专门收购媒体领域的一家或多家业务。SearchMedia是一个中国范围内领先的跨平台的媒体公司。它是中国最大的户外大牌和内置电梯广告网络的整合运营商。根统计,SearchMedia 在中国最富裕的26个城市中的13个城市中的内置电梯广告市场占有率位于第一;并在其余的9个城市中的市场占有率位于第二。

Activity in the Chinese media sector has escalated yet again as Ideation makes its debut move – a takeover of SearchMedia, an operator of outdoor billboard and in-elevator advertising networks.

The deal has redomiciled Ideation from Delaware to the Cayman Islands. "The redomiciling was complicated. It involved the merger of Ideation Acquisition into a wholly-owned Arizona subsidiary, and then the redomiciling of that Arizona subsidiary to the Cayman Islands. The redomiciling was done because substantially all of the business operations of SearchMedia are conducted outside the United States," said Tim Gardner, associate at Latham & Watkins.

Qinying Liu, one of the shareholders of SearchMedia, will continue with the company as co-chairman of the board of directors. They face tough competition in this arena -particularly from VisionChina Media, which recently merged with Digital Media Group to create the largest mobile television advertising network in China. "This transaction exemplifies the emerging strength of the Chinese technology economy, [and] it also highlights a growing consolidation in the Chinese media sector," said David Lee, partner at Orrick, Herrington & Sutcliffe, who advised DMG on the transaction.
