Eleutian Technology由Cadwalader, Wickersham & Taft担任代表法律顾问而Idapted则由Dewey & LeBoeuf和君合律师事务所提供法律咨询。

Jun He, Dewey & LeBoeuf and Cadwalader have all played a part in the first-ever English online education M&A transaction in China, in a deal that opens the doors to a new market within the educational software industry in China.
According to Dewey & LeBoeuf partner Paul Chen, this merger is an important strategic step for both the target and acquiring companies. “It will enable the combined companies to exploit the immense demand for good quality English-language education in China,” Chen said.
Chinese e-learning client Idapted is an early-stage company that has merged with its US competitor Eleutian Technology to create a global leader in the US$100bn online English instruction market. This is the first English online education M&A deal in China and also the first involving a US company.
The team, led by Paul Chen and Dirk Walker, adviseed Idapted and its shareholders – including founders, and VC funds such as Gobi Partners – on the transaction. This is the first time Dewey & LeBoeuf has represented Idapted.
The newly merged entity will operate under the Wyoming company’s brand: Eleutian Technology.
“This is a significant growth industry in China, valued at US$2bn and this deal creates a dynamic new business in the industry,” Chen said. ALB
