汽车配件生产企业江森自控(Johnson Controls) 周日表示,已同意将旗下汽车内饰业务出售给其与延锋汽车饰件系统有限公司(上汽集团下属零部件企业华域汽车全资子公司)的合资企业。上汽集团是中国最大汽车制造企业。

江森自控发言人称,公司持有合资企业30%的股权,为合资企业贡献30亿美元的营收。该发言人称,这家新成立的合资企业总营收将为75亿美元。


这笔交易由江森自控旗下汽车内饰业务,与上汽集团旗下零部件企业华域汽车的全资子公司延锋汽车饰件系统有限公司达成。


江森自控此前曾表示,正在评估对该部门的战略选择,该部门年营收约为40亿美元,但一直难以扭亏为盈。


江森自控发言人称,考虑到现有客户关系,该公司保留了“一小部分”内饰业务。那些不包括在协议里的工厂将继续在江森自控的现有网络内运营。


该交易料将于2015年上半年结案,该协议属非现金交易,由双方共同注入资产组成.


新公司总部将位于上海。并在美国、欧洲、中国、日本和印度设有全球工程、研发和客户中心。


江森自控董事长兼首席执行官穆安礼(Alex Molinaroli)表示,“此举也充分印证了江森自控集团对中国这一越来越重要的全球汽车产业中心的郑重承诺。”
