德国零售巨头麦德龙集团近日宣布将麦德龙中国的全部股份出售给中国零售公司物美集团。贝克麦坚时国际律师事务所在此次交易中为麦德龙提供法律意见,君合律师事务所和宝维斯律师事务所为物美提供了法律咨询。

根据麦德龙的一份新闻稿,此次交易估值麦德龙中国企业总价值为19亿欧元。麦德龙和物美将成立合资公司,麦德龙将持有新公司20%的股份。

根据路透社的报道,麦德龙在中国拥有97家连锁超市,并在北京及上海拥有多处不动产。近年来麦德龙不断通过重组,希望使公司业务进一步简化,同时更专注于欧洲市场。麦德龙首席执行官表示此次收益将用来支持集团的其他并购,但未透露具体细节。

这是继今年6月家乐福将其中国业务出售给苏宁后,又一家退出中国市场的外国零售巨头。

Paul Weiss, JunHe Bakers act on Wumart’s $2.1 bln acquisition of Metro China

Paul, Weiss, Rifkind, Wharton & Garrison and JunHe have advised Chinese retailer Wumart on the purchase of German wholesaler Metro’s China business for 1.9 billion euro ($2.1 billion), with Baker McKenzie advising the seller.

Metro said in a press release that it would still hold a 20 percent stake in the resulting joint venture with Wumart.

According to Reuters, Metro’s Chinese operations include 97 stores and real estate assets in major cities such as Beijing and Shanghai. Metro has in recent years been restructuring to simplify its business and focus on its European market.

Metro’s retreat from China follows that of French hypermarket China Carrefour, which sold its Chinese operations to Suning in June.

The Baker McKenzie team was led by Shanghai partner Howard Wu and Dusseldorf partner Ingo Strauss.
