11月28日,中国邮政储蓄银行正式启动上交所股票申购,12月10日,其在上交所主板成功上市,成为了最后一家重返A股上市的国有大行,自此,六家国有大行也全部实现了“A+H”股上市。此次上市共募集约284亿元人民币资金,若行使超额配售选择权,则预计将募集327亿元人民币。海问律师事务所担任了发行人的法律顾问,金杜律师事务所则为联席保荐人和主承销商提供了法律意见。
根据路透社报道,此次上市将成为2015年来上交所规模最大的上市。邮政储蓄银行成立于2007年,由于背靠中国邮政集团,该行目前在中国拥有数量最多的分支机构,其中48%位于乡村地区。
海问团队此次牵头律师为合伙人刘速、王雷及杜宁;金杜团队此次牵头律师为合伙人周宁及柳思佳。
担任此次上市联席主承销商的是中金公司、中邮证券、瑞银以及中信证券。
Haiwen, KWM act on largest mainland IPO since 2015
Haiwen & Partners has represented Postal Savings Bank of China’s (PSBC) $4.67 billion initial public offering in Shanghai, the largest IPO in mainland China in four years, with King & Wood and Mallesons advising the joint sponsors.
In 2016, PSBC had raised $7.4 billion in an IPO in Hong Kong. In that listing as well, it was advised by Haiwen, with KWM counseling the sponsors.
According to Reuters, PSBC, which was set up in 2008, built its business on a massive client base in China’s rural areas thanks to its parent state-owned China Post Group Corp, which operates postal services. It has the largest network of branches in the country, 48 percent of which are located in rural counties and villages.
The Haiwen team was led by partners Liu Su, Wang Lei and Du Ning, while the KWM team was led by partners Zhou Ning and Liu Sijia.
China International Capital Corporation (CICC), Postal Securities, CITIC Securities and UBS are co-sponsors of the float.
