12月13日，中国平安旗下的金融科技服务平台壹账通在纽交所完成上市，本次上市共筹集约3. 1亿美元资金。佳利律师事务所、高伟绅律师事务所、海问律师事务所及迈普达律师事务所担任了发行人律师，盛信律师事务所及国浩律师事务所担任了承销商的法律顾问。

根据路透社的报道，壹账通旨在对中小规模企业提供金融技术服务，其背后的投资者包括日本软银及日本金融公司思佰益。去年，壹账通曾完成了7.5亿美元融资，当时公司估价为75亿美元，成为了金融科技领域“独角兽”。上市后壹账通估价为36.4亿美元，明显低于投资者预期。

壹账通早先曾寻求在香港上市，后转向纽交所，希望获得更高估值，路透社补充说。

此次上市承销商包括高盛、摩根大通、摩根士丹利、平安证券及美银美林。

佳利团队牵头律师为合伙人Jeffrey D. Karpf和赵爽；海问团队牵头律师为合伙人胡基和郑燕；盛信团队牵头律师为合伙人Chris K.H. Lin；国浩牵头律师为合伙人岳永平。

Haiwen, Cleary, CC, Grandall, STB act on fintech platform’s $312 mln IPO

Cleary Gottlieb Steen & Hamilton, Clifford Chance and Haiwen & Partners have advised Ping An-backed fintech platform OneConnect on its $312 million initial public offering in New York, with Simpson Thacher & Bartlett and Grandall Law Firm advising the underwriters.

According to Reuters, OneConnect, which focuses on small and medium-sized businesses, is a unit of China’s biggest insurer by market value, Ping An Insurance Group, and counts Japan’s SoftBank and Japanese financial firm SBI Group as some of its main investors. It raised $750 million in its maiden funding round last year.

The key underwriters include Goldman Sachs, JPMorgan, Morgan Stanley, Ping An Securities and BofA.

Partners Jeffrey D. Karpf and Shuang Zhao led the Cleary team, the Haiwen team by partners Hu Ji and Zheng Yan, the STB team by partner Chris KH Lin, and the Grandall team by partner Yue Yongping. Maples and Calder advised the issuer on offshore law.
