中国电商平台拼多多近日向部分长线投资人通过定向增发方式，发行11亿美元A类普通股，其中腾讯认购价值约5000万美元的定增新股。世达国际律师事务所代表拼多多参与交易，美国达维律师事务所则为买方腾讯提供了法律意见。

根据达维的一份新闻稿，腾讯自2017年2月成为拼多多主要股东之一。双方向美国证券交易委员会递交的文件显示，交易完成后，腾讯持有拼多多29.2%的A类普通股，持股比例增至16.5%，继续成为其第二大股东。

根据路透社报道，拼多多于上月公布了2019年第四季度财报，收入同比增长91%，第四季度总营收为15.5亿美元。

Skadden, Davis Polk on Pinduoduo’s $1.1 bln private placement and Tencent’s purchase

Skadden, Arps, Slate, Meagher & Flom has advised China e-commerce firm Pinduoduo on its $1.1 billion private share placement, with Davis Polk & Wardwell advising Tencent.

Tencent has been one of the principal shareholders in Pinduoduo since February 2017. After the investment, Tencent holds approximately 16.5% of Pinduoduo’s total outstanding shares.

According to Reuters, Pinduoduo has reported a 91% jump in its fourth-quarter revenue last month, and its total revenue rose to $1.55 billion in the three months ended Dec. 31.
