贝克·麦坚时国际律师事务所近日为金山软件发行31亿港元可换股债券提供法律意见，摩根士丹利及摩根大通则担任本次可换股债券项目经办人。

根据贝克·麦坚时的一份新闻稿，本次发行可换股债券的所得款项净额近30.34亿港元。金山软件拟将所得款项用作一般公司用途、策略投资及收购（如适用）及补充营运资金。该项目也是自今年1月新冠疫情发生以来，首单香港上市公司发行的可换股债券。

创建于1988年，金山软件是一家软件应用及互联网服务供应商，主要从事网络游戏、云业务及办公软件研发及销售。

Baker McKenzie on Kingsoft’s $399 mln convertible bonds issuance

Baker McKenzie has advised Kingsoft Corporation on its issuance of $399 million convertible bonds due 2025, with Morgan Stanley and J.P. Morgan acting as mangers of the issuance.

According to Baker’s press release, the proceeds from the bonds issuance are proposed to be used for general corporate purposes, strategic investments and acquisitions, and, if appropriate, to supplement working capital. The deal is the first equity-linked trade in Hong Kong since the coronavirus outbreak in January.

Founded in 1988, Kingsoft is a software application and internet services provider in China and is principally engaged in online games, cloud business and office software.
