近日,贝克·麦坚时国际律师事务所作为大众汽车集团合规顾问,为该公司在中国电动汽车市场的两项重大投资提供咨询服务,金杜律师事务所、锦天城律师事务所则分别代表锂离子电池制造商国轩高科和国有企业安徽江淮汽车参与交易。
据新华网、贝克·麦坚时及金杜新闻稿报道,大众拟以10亿欧元增资江淮汽车母公司江汽控股,以获取其50%股权;同时增持电动汽车合资企业江淮大众股份至75%,获得合资公司管理权,这也是继华晨宝马、北京奔驰之后,国内汽车合资股比开放政策发布后的又一案例。
与此同时,大众将斥资约11亿欧元,收购在深圳上市的锂离子电池制造商国轩高科26%的股份,成为其最大股东。国轩高科一直以来都是江淮汽车的主要动力电池供应商。大众将成为首家直接投资中国本土电池供应商的国际汽车制造公司。
本项目也是2020年新《外商投资法》实施以及证监会再融资新规颁布以来,在新法律及监管框架下,中国上市公司引入国际知名公司战略投资的示范案例。
这两笔交易均由贝克·麦坚时上海办事处合伙人许峰律师牵头,奋迅·贝克麦坚时联营办公室驻上海合伙人陈曦律师也协助完成了国轩高科的交易。

Baker McKenzie, KWM, AllBright on Volkswagen’s two investments in China’s EV market
Baker McKenzie has acted for Volkswagen Group as regulatory compliance counsel in relation to two major investments in China's electric vehicle market, with King & Wood Mallesons and AllBright Law Offices advising lithiumion battery manufacturer Guoxuan High-Tech and Anhui Jianghuai Automobile Group ("JAC Motors"), respectively.
According to the law firms’ press releases, Volkswagen is poised to take a 50% stake in JAC Motors and increase its holding in the JAC-Volkswagen joint venture from 50% to 75% for around €1 billion. The transaction is said to be the biggest M&A deal in the China EV sector.
Meanwhile, Volkswagen will also invest €1.1 billion to acquire a 26% stake in Shenzhen-listed Guoxuan High-Tech, who has been the main supplier of JAC Motors, and become the biggest shareholder of the EV battery maker. The agreement is also set to make Volkswagen the first global automaker to buy directly into a domestic Chinese battery supplier.
The Volkswagen-Guoxuan transaction is also a model investment deal between a multinational enterprise and a Chinese listed company since the launch of China’s new Foreign Investment Law in January.
Baker McKenzie's Shanghai-based partner Simon Hui was the lead partner on both transactions. Partner Maggie Chen of Baker McKenzie FenXun (FTZ) Joint Operation in Shanghai also assisted on the Guoxuan deal.
