近日，小鹏汽车成功在美国纽约证券交易所上市，共募集资金约15亿美元。方达律师事务所和盛信律师事务所作为发行人律师提供法律意见；君合律师事务所、瑞生国际律师事务所为承销商提供法律服务。

小鹏汽车成立于2015年，是中国智能电动汽车设计及制造商。今年8月初，小鹏汽车完成了C+轮融资，募集近5亿美元。此次是继理想汽车在美国纳斯达克上市后，一个月内的第二家中国电动汽车制造商赴美上市。

盛信团队则由合伙人Kevin Kennedy, 林楚丽和高屹律师牵头领导。

君合团队牵头律师为合伙人王毅、万晶律师。

本次上市的承销商包括瑞信证券、摩根大通、美银证券、农银国际、中银国际、富途、海通国际和老虎证券。

衡力斯律师事务所作为离岸律师为本次上市提供法律服务。

Simpson Thacher, Latham act on Xpeng Motor’s NYEx IPO

Simpson Thacher & Bartlett and Fangda Partners have advised Chinese smart electric vehicle manufacturer Xpeng Motors on its $1.5 billion IPO on the New York Stock Exchange, with JunHe and Latham & Watkins advising the underwriters.

Established in 2015, Xpeng completed its Series C+ round financing of $500 million in early August. It is the second China EV manufacturer listed in U.S. this month, after Li Auto’s $1.1 billion IPO on the Nasdaq.

The Simpson Thacher team was led by partners Kevin Kennedy, Celia Lam and Yi Gao, while the JunHe team was led by partners Wang Yi and Wan Jing. Harneys represented the issuer on offshore law. 

The underwriters for Xpeng’s IPO included Credit Suisse Securities, J.P. Morgan Securities, BofA Securities, ABCI Securities, BOCI Asia, Futu Inc, Haitong International Securities and Tiger Brokers.
