中国数字货运公司满帮集团于近日在美国纽交所上市,募集资金17.7亿美元,超越6月上旬赴美上市的BOSS直聘(募集9.12亿美元)成为今年迄今最大规模的中概股赴美IPO。澄明则正律师事务所、盛信律师事务所担任发行人律师;金杜律师事务所、达维律师事务所则为联席承销商提供法律意见。
满帮集团成立于2017年,由两大车货匹配平台江苏满运软件科技有限公司(运满满)和贵阳货车帮科技有限公司(货车帮)合并成立。满帮集团以数字技术为支撑,在城际货运领域提供车、货匹配服务。此次上市后,满帮集团成为中国数字货运第一股。
达维团队由达维亚洲(日本除外)联席主管、全球合伙人何鲤及全球合伙人林振宇牵头领导。
康德明律师事务所担任发行人离岸律师。本次IPO的联席主承销商为摩根士丹利、中金公司、高盛、瑞银、华泰证券、花旗和野村证券;副承销商为华兴资本和里昂证券。
Simpson Thacher and Davis Polk led on Chinese digital freight platform’s $1.77bln IPO in New York
Simpson Thacher & Bartlett and CM Law Firm have advised Chinese digital freight platform Full Truck Alliance on its IPO in New York, with Davis Polk & Wardwell and King & Wood Mallesons advising the joint underwriters. Full Truck Alliance has raised $1.77 billion, surpassing Boss Zhipin’s $912 million IPO in Nasdaq and becoming this year’s largest IPO launched by Chinese company so far.
Full Truck Alliance was established in 2017 by the merger between two freight platforms, Jiangsu Man Yun Software and Guiyang Huo Che Bang. Full Truck Alliance matches cargo and freight with the support of digital technology. Following the IPO, the company has become the first Chinese digital freight stock.
The Davis Polk team was led by partners Li He and James C. Lin.
Conyers Dill & Pearman was the issuer’s offshore lawyer. The underwriters were Morgan Stanley, CICC, Goldman Sachs, UBS Investment Bank, Huatai Securities, Citigroup, Nomura, China Renaissance and CLSA Limited.
