近日,中国知名房地产开发商广州富力地产股份有限公司(“富力地产”)向美国投资公司黑石集团出售了广州国际机场富力综合物流园30%股权。该物业价值约人民币73亿元。德汇律师事务所为卖方富力地产提供法律服务。

2021年初,富力地产曾向黑石出售该综合物流园的70%股权,并与黑石集团成立合资企业。该物流园是粤港澳大湾区规模最大的综合物流园,交易完成后,黑石集团将拥有其全部股权。

富力地产总部位于中国广州,是专注发展中高端房地产项目的中国龙头房地产公司之一。其业务包括开发住宅及商用物业、办公室大楼、商场、酒店和物流园区。据悉,富力地产将从此笔交易中收取约人民币12.63亿元现金付款,董事会拟将此次出售所得款项用于降低负债水平及用作一般运营资金。

本次交易中德汇团队由香港办公室合伙人陈希文、上海办公室合伙人范祎沁牵头领导,团队成员包括资深律师周婷和黄绮君。

Dorsey on R&F Properties’ disposal of 30% stake in logistics park to Blackstone in Guangzhou

Guangzhou R&F Properties, a top-ranking property developer in China, has disposed its remaining 30 percent equity interest in Guangzhou International Airport R&F Integrated Logistics Park to the Blackstone Group. The property’s value is approximately $1.14 billion. Dorsey & Whitney acted for the seller in the deal.

R& F sold a 70 percent equity interest in the Integrated Logistics Park and established a joint venture with Blackstone early this year. Upon completion of the two transactions, R&F has sold to Blackstone the entire equity interest of the Integrated Logistics Park being the largest logistics park in China’s Greater Bay Area. 

Headquartered in Guangzhou, R&F is one of the top-ranking property companies focusing on medium to high-end property developments in China. The disposal will enable R&F to receive cash payments of approximately $198.4 million. The proceeds will be used to lower the debt ratio and as general working capital.
