• 首创证券登陆上交所

在A股市场，券商首创证券股份有限公司在上交所主板成功上市，募资金额为19.32亿元，成为今年首家登陆A股的券商。国枫律师事务所为发行人提供法律服务。

首创证券成立于2000年，是北京市国资委所属北京首都创业集团有限公司控股的证券公司。

国枫该项目经办律师为合伙人刘斯亮、陈志坚。

• 辣条企业登陆港交所

在香港市场，卫龙美味全球控股有限公司在港交所主板成功上市，募集资金约为10.18亿港元。通商律师事务所、高伟绅律师事务所为发行人提供法律服务，普衡律师事务所、竞天公诚律师事务所则作为保荐人律师参与交易。

卫龙2001年成立于河南漯河，是中国最大的辣味休闲食品企业，按2021年零售额计，卫龙食品在中国辣味休闲食品市场排名第一。

• 国货美妆登陆港交所

上美集团2002年成立于上海，旗下拥有韩束、一叶子、红色小象、BIO-G等多个品牌。

按平均月活和线上招聘收入计，BOSS直聘目前是中国最大的线上招聘平台。其于2021年6月登陆纳斯达克。其也成为近年继知乎、贝壳、哔哩哔哩等后另一家实现在美港两地双重主要上市的中概股企业。

Capital markets deal digest: a reheating market towards year end

Capital markets in both mainland China and Hong Kong have seen a bunch of major deals towards the end of a flat year of 2022.

SHANGHAI

In Shanghai, Grandway Law Offices has acted on Capital Securities’ $277 million initial public offering on the main board of the Shanghai Stock Exchange, becoming the first stockbroker listed on the A shares market in 2022. Founded in 2000, Capital Securities provides institutional brokerage services throughout China.

The Grandway team was led by partners Liu Siliang, Chen Zhijian.

HONG KONG – WEILONG

In Hong Kong, Commerce & Finance Law Offices and Clifford Chance have acted on Chinese snack food maker Weilong Delicious Global Holdings’ $140 million initial public offering, with Jingtian & Gongcheng and Paul Hastings advising the sponsors.

Founded in 1999 and based in Luohe city in the central Chinese province of Henan, Weilong makes popular spicy snacks made of soybeans and eggs.

The CC team was led by China Co-Managing Partner Tim Wang, and partners Jean Thio, Xiang Tianning; the Paul Hastings team saw the leadership of partners Raymond Li, Fan Chaobo, and Vincent Wang.

HONG KONG – CHICMAX

Meanwhile, C&F and CC joined hands again on Shanghai Chicmax Cosmetic’s $141 million initial public offering, with JunHe, Freshfields Bruckhaus Deringer acting for the sponsors.

Founded in Shanghai, Chicmax is a multi-brand cosmetics company, focusing on the development, manufacturing, and sales of skincare, maternity and childcare products.

The CC team was led by partners Christine Xu, Jean Thio; the JunHe team was led by partners Jiang Wenjun, Zhang Zhijin, with assistance from partner Huang Xiaoli; the Freshfields team saw the leadership of partners Teresa Ko, Calvin Lai, and David Yi.

DUAL LISTING – KANZHUN

In Hong Kong, Tian Yuan Law Firm, Skadden, Arps, Slate, Meagher & Flom have advised on Kanzhun's dual primary listing by way of introduction, with Clifford Chance and Han Kun Law Offices advising the sponsors.

Kanzhun Limited operates the leading online recruitment platform BOSS Zhipin in China. The company was listed on NASDAQ in June 2021 and is the latest China concept stock to achieve a dual primary listing in Hong Kong after Zhihu, Beike and Bilibili.

The Tian Yuan team was led by partners Zhu Xiaohui, Xie Jiayun, Zeng Wenwen and Chen Zhusha; the CC team again saw the leadership of Tim Wang, Christine Xu and Jean Thio.
