本周,瑞交所继续迎来两家中国企业上市并发行全球存托凭证(GDR)。
中控技术登陆瑞交所并发行GDR
浙江中控技术股份有限公司成功发行GDR并在瑞士证券交易所上市,募资约5.65亿美元。
金杜律师事务所、年利达律师事务所担任发行人律师;嘉源律师事务所、安理国际律师事务所则担任承销商法律顾问。
中控技术成立于1999年,作为工业自动化领域的领先企业之一,长期致力于满足流程工业的产业数字化需求,实现工业企业高效自动化生产和智能化管理。
据悉,本项目为“沪伦通”扩容为“中欧通”以来最大比例的发行,中控技术也成为IPO后最短时间内完成GDR发行的公司——该企业于2020年11月完成A股上市。

扬杰电子登陆瑞交所并发行GDR
扬州扬杰电子科技股份有限公司也于本周成功发行GDR并在瑞士证券交易所上市,募资约2.15亿美元。
江苏泰和律师事务所、贝克·麦坚时国际律师事务所担任发行人律师;国浩律师事务所、年利达律师事务所则担任承销商法律顾问。
扬杰电子成立于2006年,是国内少数集半导体器件、半导体芯片、半导体硅片业务的研发、制造、销售等于一体的厂商,2014年在深圳证券交易所上市。
据悉,该项目为“中瑞通”机制下的第一个半导体行业项目。

Deal Digest: SIX keeps lure Chinese companies to list in Switzerland
Two Chinese companies have issued global depositary receipts (GDRs) and successfully listed on the SIX within this week.
SIX – Supcon Technology
KWM and Linklaters have advised smart manufacturing company Supcon Technology on its $565 million global offering of GDRs and subsequent listing on the SIX, with Jia Yuan Law Offices and Allen & Overy acting as legal advisors to the sponsor.
Founded in 1999, Supcon Technology is a leading technology company focusing on process industry automation and digital transformation business.
The KWM team was led by partners Liang Jin, Su Zheng; The Jia Yuan team was led by partners Xu Ying, Zhang Wen, Liu Jing, Zhong Yunchang; The Linklaters team was led by partners John Xu, Lipton Li; The A&O team was led by partners Jonathan Hsui, Kung-Wei Liu.
SIX – Yangjie Electronic
Baker McKenzie and JC Master Law Offices have advised Yangzhou Yangjie Electronic Technology on its $215 million global offering of GDRs and listing on the SIX, with Linklaters and Grandall Law Firm acting for the sponsor.
Founded in 2006, Yangjie Electronic is a leading power semiconductor company that integrates the R&D, manufacturing, and sales of semiconductor devices, semiconductor chips, and semiconductor silicon wafers. The company was listed in Shenzhen in 2014.
This is the first semiconductor project under the China-Switzerland Stock Connect mechanism.
