近日,连锁餐厅品牌赛百味与上海富瑞食企业发展有限公司签订新的总特许经营协议,旨在大幅扩大赛百味在中国内地的业务规模。贝克·麦坚时国际律师事务所为赛百味提供法律服务,凯易律师事务所、汉坤律师事务所则代表投资人参与交易。
据悉,该协议是赛百味有史以来规模最大的总特许经营协议,据报道也是整个连锁快餐行业最大的特许经营协议之一。
上海富瑞食由包括Asia Investment Capital在内的投资者联合体出资,将获得在中国内地管理和开发所有赛百味门店的独家权利。未来20年,上海富瑞食计划在中国内地开设近4000家赛百味门店,使其在华市场规模扩大7倍。
贝克·麦坚时团队由香港办公室合伙人屈爱青、资深顾问黄晓文,以及达拉斯办公室合伙人Mohammad Alturk领导。
凯易团队则由香港公司业务合伙人于鹏 、周翔,及芝加哥科技与知识产权业务合伙人Jeffery Norman和王敏牵头领导。
Baker, Kirkland, Han Kun on Subway’s historical deal to expand presence in China
Subway, one of the world's largest restaurant brands, has entered into a new master franchise agreement with Shanghai Fu-Rui-Shi Corporate Development (FRS) to expand its presence in Mainland China significantly.
Baker McKenzie advised Subway in the deal, while Kirkland & Ellis and Han Kun Law Offices represented the buyer FRS, which was funded by a consortium of private investors, including Asia Investment Capital (AIC).
The agreement is the largest master franchise agreement in Subway history and reportedly one of the largest across the entire Quick Service Restaurant industry.
FRS plans to open nearly 4,000 Subway restaurants in Mainland China over the next 20 years, growing Subway's current footprint in the market by more than seven times.
Hong Kong partner Tracy Wut, Dallas partner Mohammad Alturk, and Hong Kong special counsel Grace Wong led the Bakers team.
The Kirkland team saw the leadership of Hong Kong corporate partners Peng Yu, Vincent Zhou, and Chicago IP partners Jeffery Norman and Min Wang.
