近日，中国吉利控股集团和吉利汽车控股有限公司与法国雷诺集团签署50:50的合资协议，成立一家投资约77.1亿美元的新公司，在高效混合动力技术领域，为全球汽车品牌提供低排放解决方案。
本次交易中，众达律师事务所、罗马尼亚Musat & Asociatii律师事务所为吉利提供服务，富而德律师事务所则代表雷诺参与交易。
新公司将由吉利和雷诺集团共同领导。运营初期设立马德里、杭州湾两个运营中心。未来新公司总部拟落地英国。
吉利和雷诺将把相关知识产权转入各自的运营中心，让新公司能完全自主开发未来动力总成技术，新公司产品预期可涵盖全球80％的燃油动力和混合动力汽车市场应用需求，为包括雷诺、吉利、沃尔沃、宝腾、日产、三菱和PUNCH Torino在内的多个品牌提供服务。
据悉，富而德在交易中帮助雷诺剥离了其主要位于阿根廷、巴西、智利、葡萄牙、西班牙、罗马尼亚和土耳其的内燃机和混合动力引擎业务。
新公司将在欧洲、亚洲和南美拥有五大研发中心和17家工厂，员工总数约19000人。
此外，沙特阿美也与吉利和雷诺签署了投资意向书。沙特阿美的投资将助力合成燃料解决方案和下一代氢动力关键技术的研发。电子燃料等合成燃料以及氢燃料可推动汽车行业脱碳减碳，也可促进燃油汽车低碳发展。
此交易源自双方于2022年11月签订的一项非约束性框架协议。近年，吉利曾收购诸多国外汽车品牌，包括沃尔沃、宝腾、莲花、Telecar等。
众达团队牵头人为中国大陆主管合伙人黄敏琪、伦敦合伙人Leon N. Ferera；
Musat & Asociatii团队由高级合伙人Gheorghe Mușat 、管理合伙人Paul Buta 、副管理合伙人Răzvan Stoicescu牵头；
富而德团队由巴黎合伙人Guillemette Burgala、顾问Aïleen Legré牵头，同时组建了一支跨越5家办公室的60余人律师团队。
Jones Day, Freshfields on the Geely/Renault powertrain JV
China's Geely Automobile and French car maker Renault SA have announced investing up to $7.71 billion in a new joint venture to develop gasoline engines and hybrid technology for automobiles.
Jones Day and Romanian law firm Musat & Asociatii have advised Geely in the deal, with Freshfields Bruckhaus Deringer acting as Renault’s legal advisor.
Freshfields advised Renault on structuring and implementing the carve-out of its internal combustion and hybrid engines business conducted mainly in Argentina, Brazil, Chile, Portugal, Spain, Romania and Turkey.
The new company will employ 19,000 people at 17 engine plants and five research and development hubs. At launch, it is expected to supply to multiple industrial customers, including Volvo, Proton, Nissan, Mitsubishi Motors, and PUNCH Torino.
Saudi Aramco signed a letter of intent with Renault and Geely in March and is evaluating a strategic investment in the new company. Once completed, Aramco would become the first major oil producer to invest in the car business.
The deal was based on a framework agreement signed by both companies last November. Geely has recently brought a bunch of international car brands, such as Volvo, Lotus, and Proton, under its ownership. It also bought a stake in Aston Martin in 2022.
The Jones Day team was led by Mainland China offices partner-in-charge Angel Huang, and London partner Leon N. Ferera.
The Musat team saw the leadership of senior partner Gheorghe Mușat, managing partner Paul Buta, and deputy managing partner Răzvan Stoicescu.
And the Freshfields team was led by Paris partner Guillemette Burgala and counsel Aïleen Legré. The transaction also involved more than 60 lawyers from five different offices.
