近日，总部位于中国杭州的LED驱动电源龙头企业英飞特与全球照明巨头欧司朗顺利交割，由英飞特以现金方式收购后者专注于照明组件的欧亚数字系统事业部，交易对价约为5.5亿欧元。

据悉，英飞特2007年成立于杭州，主营产品为大、中功率的LED驱动电源，并于2016年在创业板上市。英飞特目前在中国、印度、墨西哥设有工厂，并在美国、荷兰设有配送中心。英飞特曾参与港珠澳跨海大桥、杭州西湖G20亮化项目、中国尊项目、北京天安门广场及城楼项目等多个标杆式重点项目，已成为国际领先的LED驱动电源龙头企业。
欧司朗欧亚数字系统业务总部位于德国慕尼黑附近，拥有约600名员工，资产主要分布在欧洲、亚洲、非洲、大洋洲等30余个国家和地区，并在德国、意大利、中国、印度建有4个研发中心。
英飞特表示，本次并购将帮助自身实现更加全面的海外布局，对其全球化业务发展具有重要的战略及经济意义。
此外，本次交易也是2021年以来首单创业板上市公司跨境重大资产重组项目，同时是近五年LED行业A股上市公司跨境交易规模最大的项目。

C&F, Haiwen on 550 mln euro major acquisition deal in the lighting sector
Hangzhou-based LED driver products manufacturer, Inventronics, has recently completed the acquisition of ams OSRAM’s Europe and Asia Digital Systems business, in an all-cash transaction. The deal was valued at approximately 550 million euro.
Commerce & Finance Law Offices acted as legal counsel for the buyer, while Haiwen & Partners provided legal consultation for CICC, the exclusive financial advisor in this deal.
Inventronics was founded in Hangzhou in 2007 and specializes in high and medium-power LED driver power supplies. It went public on the Shenzhen ChiNext Board in 2016. Inventronics currently operates factories in China, India, and Mexico, with distribution centres in the United States and the Netherlands.
The company has been involved in several landmark projects, including the Hong Kong-Zhuhai-Macau Bridge, the G20 Hangzhou Summit lighting project, the China Zun project, Beijing Tiananmen Square and gate-tower project. It has established itself as a global leader in the LED driver power supply industry.
The headquarters of ams OSRAM’s Europe and Asia Digital Systems business is located near Munich, Germany. Its assets are spread across more than 30 countries and regions in Europe, Asia, Africa, and Oceania. It has four research and development centres in Germany, Italy, China, and India.
Inventronics stated that this acquisition will help them achieve a more comprehensive overseas presence and holds significant strategic and economic importance for their global business development.
Furthermore, this transaction marks the first major cross-border asset restructuring project for a ChiNext-listed company since 2021 and the largest cross-border deal in terms of scale in the LED industry among A-share listed companies in the past five years.
