中国汽车售后服务公司途虎养车本周在港交所成功上市，募资金额约为10.81亿港元。这是2023年以来香港最大的TMT IPO项目。
世达国际律师事务所、澄明泽正律师事务所为发行人提供服务；凯易国际律师事务所、竞天公诚律师事务所则为联席保荐人及包销商提供法律建议。迈普达为本次交易提供了离岸法律咨询。
本交易保荐人包括高盛、中金公司、瑞银集团，以及美银证券。
途虎养车2011年创立于上海，主营轮胎、机油、汽车保养、汽车美容、车品等，提供线上预约+线下安装的养车方式。截至2023年中，途虎养车在全国拥有5,129家工场店和超过2万家合作门店，已建成中国最大的汽车服务门店网络。途虎养车还推出了6大新能源汽车服务项目。
本次交易中，“造车新势力”零跑汽车和动力电池制造商国轩高科都作为基石投资者参与了认购。
凯易团队由资本市场合伙人张彤、林邦及吕梦宇博士牵头领导，团队成员还包括资本市场合伙人朱家明。
Kirkland, Skadden head Tuhu Car’s $152 mln IPO in HK
Chinese automotive aftermarket service company Tuhu Car successfully went public on the Hong Kong Stock Exchange this week, raising approximately $152 million. This marks the largest TMT IPO project in Hong Kong in 2023 by far.
Skadden, Arps, Slate, Meagher & Flom and CM Law Firm provided services to the issuer, while Kirkland & Ellis and Jingtian & Gongcheng offered legal advice to the joint sponsors and underwriters. Maples provided offshore legal counsel for the transaction.
The joint sponsors for this transaction include Goldman Sachs, CICC, UBS Group, and BofA Securities.
Tuhu Car, founded in Shanghai in 2011, specializes in tires, motor oil, car maintenance, auto detailing, and car products. It offers an online booking and offline installation car maintenance model. As of mid-2023, Tuhu has over 5,000 workshop stores and over 20,000 partner stores nationwide, establishing the largest network of automotive service stores in China. Tuhu has also introduced six new energy vehicle service programs.
In this transaction, EV manufacturer Leapmotor and battery manufacturer Gotion High-tech participated as cornerstone investors.
