10月27日,中国快递公司极兔速递成功以同股不同权架构在香港完成上市,募资额为35.3亿港元。世达国际律师事务所、汉坤律师事务所、通商律师事务所担任联席保荐人的法律顾问,瑞生国际律师事务所、达辉律师事务所、衡力斯律师事务所则为发行人提供法律服务。
这是今年继珍酒李渡53亿港元上市后,2023年迄今为止在香港联交所的第二大上市项目,也是中国证监会颁布备案新规以来携VIE架构以首次公开发行方式于香港资本市场上市而获得备案的第一家企业。
极兔2015年成立于印度尼西亚,目前已成东南亚最大快递公司,快递网络覆盖了印度尼西亚、越南、马来西亚、菲律宾、泰国、柬埔寨、新加坡、中国、沙特阿拉伯、阿联酋、墨西哥、巴西、埃及共13个国家。
因此,极兔上市项目也聘请了一系列东南亚律所担任公司律师,包括:印尼律所Hutabarat Halim & Rekan、越南律所Vilaf、马来西亚律所Rahmat Lim & Partners、菲律宾律所SyCip Salazar Hernandez & Gatmaitan,以及泰国律所Weerawong, Chinnavat & Partners Ltd.。
近期,极兔也在中国实现了快速发展:2019年收购了上海龙邦快递,在中国直接获得快递经营资质和快递网络;2023年则以11.83亿元的价格从顺丰控股旗下买下丰网控股。

Skadden, Latham on J&T Express’ $500 mln IPO in HK
Chinese courier company J&T Express has successfully listed on the Hong Kong Stock Exchange with a VIE structure on October 27th, raising approximately $500 million. Skadden, Arps, Slate, Meagher & Flom, Han Kun Law Offices, and Commerce & Finance Law Offices served as legal advisors to the joint sponsors, while Latham & Watkins and Dahui Lawyers provided legal services to the issuer.
This marks the second-largest listing on the Hong Kong Stock Exchange in 2023 and the first company to go public in Hong Kong's capital market using a VIE structure after the CSRC's new filing regulations.
J&T, established in 2015 in Indonesia, has grown to become the largest express delivery company in Southeast Asia, with operations spanning 13 countries, including Indonesia, Vietnam, Malaysia, the Philippines, Thailand, Cambodia, Singapore, China, Saudi Arabia, UAE, Mexico, Brazil and Egypt.
J&T has also seen rapid development in China, including the acquisition of Shanghai Longbang Express in 2019, which provided them with express delivery operating qualifications and a network in China. In 2023, they acquired Fengwang Holdings from SF Holding for 1.183 billion yuan.
