近日，北京市国有资产经营有限责任公司（“北京国资”）与瑞士银行有限公司（“瑞士银行”，UBS）和方正证券股份有限公司（“方正证券”）达成三方协议，将收购瑞信证券（中国）有限公司（“瑞信证券”）85.01%股权，交易总对价约为13.62亿元人民币。
观韬中茂律师事务所担任北京国资的法律顾问，方达律师事务所则为瑞银、方正证券提供法律服务。
交易完成后，北京国资和瑞银将分别持有瑞信证券85.01%和14.99%的股权。
2023年6月，瑞信在遭遇危机后并入瑞银。此后，瑞银便寻求出售瑞信证券股权，因为根据中国法律，外资不得同时在两家合资证券公司中控股，而瑞银已经持有瑞银证券有限责任公司67%的股权。
根据彭博社消息，美国城堡证券、中国蚂蚁集团都参与了收购瑞信证券的竞标。
北京国资是一家金融股权投资领域的市管国有企业，同时持有北京银行、北京农商银行等股权。

Guantao, Fangda on BSAM’s $2.15 mln acquisition of Credit Suisse China venture Stake
Guantao Law Firm has advised Beijing State-Owned Assets Management (BSAM) in a tripartite agreement reached with UBS AG ("UBS") and Founder Securities to acquire an 85.01% stake in Credit Suisse Securities (China) for a total transaction value of approximately $2.15 million.
Fangda Partners has provided legal services to UBS and Founder Securities in the deal.
Upon completion of the transaction, BSAM and UBS will hold 85.01% and 14.99% of the equity in Credit Suisse Securities, respectively.
In June 2023, Credit Suisse was merged into UBS following a crisis. Subsequently, UBS sought to divest its stake in Credit Suisse Securities, as Chinese law prohibits foreign entities from holding controlling interests in two joint venture securities companies simultaneously. UBS already holds a 67% stake in UBS Securities in China.
According to Bloomberg, American Citadel Securities and China's Ant Group also participated in the bidding for Credit Suisse Securities.
BSAM is a municipal state-owned enterprise in the field of financial equity investment, holding stakes in entities such as Bank of Beijing and Beijing Rural Commercial Bank.
