欧华律师事务所近日作为海尔智家的法律顾问，协助其与瑞典伊莱克斯集团达成交易，海尔智家将以约9.8亿人民币对价，收购伊莱克斯集团在南非对Electrolux South Africa Proprietary Limited（“ESA”）的全部股权。
ESA是一家南非领先的热水器制造商，旗下拥有百年热水器品牌Kwikot，在南非市场拥有完善的销售渠道、安装网络和售后服务体系。海尔智家计划扩展ESA的产品线，包括太阳能热水器、净水器，并借助ESA的销售网络推动旗下白色家电业务在南非的发展。
海尔智家1984年成立于中国青岛，是海尔集团的子公司之一，也是全球规模最大的家电制造商。本次收购是海尔智家战略性布局非洲市场的重要举措。今年5月，海尔智家埃及生态园正式揭幕，年产能将超150万台。
欧华公司业务合伙人张勤（中国北京）和Johannes Gouws（南非约翰内斯堡）共同领导了本次交易工作，并由跨国法律团队提供支持。
DLA Piper on Haier’s $136 mln investment in South Africa
DLA Piper has advised Haier Smart Home, based in Qingdao, China, on the acquisition of Electrolux Group’s complete equity interests in its subsidiary Electrolux South Africa Proprietary Limited (ESA) for approximately $136 million.
ESA, a leading water heater manufacturer in South Africa, owns the century-old brand Kwikot, and it operates established distribution channels, an installation network, and after-sales services in the local market. Haier Smart Home will help expand the product portfolio of ESA by launching new solar water heaters and purifiers and improve Haier's white goods business in South Africa using ESA's local sales channel advantages.
Haier Smart Home, a subsidiary of the Haier Group, was founded in 1984, and it’s currently the world’s largest home appliance manufacturer. This acquisition is a strategic move for Haier Smart Home’s growth in the African market. It opened an Egypt Ecological Park in May, with an annual output of more than 1.5 million products.
DLA Piper’s corporate partners James Chang (Beijing, China) and Johannes Gouws (Johannesburg, South Africa) co-led the transaction with the support of a multijurisdictional team.
