近日,TCL科技控股子公司TCL华星光电宣布将向韩国LG Display公司(LGD)收购其在广州的液晶面板工厂,以及相关运营所需技术及支持服务。本次交易对价为108亿元人民币。

方达律师事务所为TCL华星光电提供法律服务;瑞生国际律师事务所则作为LGD的律师参与交易。

这是在全球制造业供应链转型的背景下,中国高科技制造业巨头与全球跨国企业之间的代表性产业并购交易。

目前,LGD正在实施将其业务重心转向有机发光二极管(OLED)科技的战略计划。根据36氪消息,广州工厂是LGD首座海外面板工厂,出售广州工厂是其全面退出液晶电视面板供应的重要一步。广州工厂的出售意味着韩系面板厂商将全面退出液晶电视面板市场供应,而TCL科技将极大提升其在大尺寸面板市场的产能和市场份额。

方达公司组合伙人马强律师牵头负责本次收购交易部分的工作;反垄断组合伙人韩亮律师、合伙人王瑾律师牵头负责本次收购涉及的多司法管辖区经营者集中申报工作;争议解决组合伙人黄涛律师及合伙人陈周律师为本次收购的推进提供了重要支持。

Fangda, Latham on $1.54 bln Sino-Korean LCD business acquisition

Fangda Partners has advised TCL China Star Optoelectronics Technology (TCL CSOT), a subsidiary of TCL Technology, on its $1.54 billion acquisition of South Korea company LG Display's (LGD) LCD panel factories in Guangzhou, along with the necessary technology and operational support services. Latham & Watkins represented LGD in the transaction.

This acquisition marks a significant industry merger between a Chinese high-tech manufacturing giant and a global multinational corporation, set against a shifting global manufacturing supply chain.

LGD is currently implementing a strategic shift towards organic light-emitting diode (OLED) technology. According to 36Kr, the Guangzhou factory is LGD’s first overseas panel facility. Selling the Guangzhou factory is a crucial step in LGD's complete exit from the LCD TV panel supply market. This sale signifies the full withdrawal of Korean panel manufacturers from the LCD TV panel market, while TCL Technology will significantly enhance its production capacity and market share in the large-size panel segment.

M&A partner Ma Qiang led the Fangda team. Antitrust partners Michael Han and Wang Jin led the multi-jurisdictional antitrust filing for the transaction. Dispute resolution partners Daniel Huang and Allan Chen provided critical support for the transaction.

The Latham team was led by Hong Kong corporate partners Steve Kang and Stephen Shi, with support from Singapore-based counsel Esther Franks and Hong Kong partner Dominic Geiser.
