11月27日，中国自动驾驶领域领军企业小马智行在美国纳斯达克成功上市。
结合1.53亿美元的IPO同步私募配售，小马智行此次发行总募资超过4.13亿美元，若执行绿鞋则超过4.52亿美元。小马智行成为“全球Robotaxi第一股”。
达维律师事务所、海问律师事务所作为发行人律师参与交易；美国佳利律师事务所、竞天公诚律师事务所则为承销商提供法律服务。
2016年成立于广州南沙，小马智行主要为全球市场提供出行和物流领域的自动驾驶技术和解决方案，开发可适用于不同车型和应用场景的“虚拟司机”技术。
小马智行是国内首批在北京、上海、广州、深圳四大一线城市取得无人驾驶出行服务许可的公司，也是唯一一家在这四大城市取得面向公众载客的所有可用监管许可的公司。
小马智行同时在推进欧洲、中东、亚洲等地区的自动驾驶技术解决方案及产品出海布局。2023年10月，其获得沙特新未来城（NEOM）及旗下投资基金NIF的1亿美元投资，双方计划在沙特成立合资公司，提供自动驾驶技术解决方案。
达维团队由达维亚洲（日本除外）联席主管何鲤、全球合伙人林振宇和公司事务业务部主管Michael Kaplan联手主导。

Davis Polk, Cleary on Pony.ai’s $452 mln listing on Nasdaq
Davis Polk and Haiwen & Partners have advised Pony.ai, a leading autonomous driving company from China, on its initial public offering on Nasdaq, with Cleary Gottlieb Steen & Hamilton and Jingtian & Gongcheng acting for the sponsors.
Together with a $153 million concurrent private placement, Pony.ai raised over $413 million in its IPO, or over $452 million if the greenshoe option is exercised, becoming the world's first Robotaxi IPO.
Founded in 2016 in Nansha, Guangzhou, Pony.ai specializes in providing autonomous driving technologies and solutions for mobility and logistics globally. The company has developed its "Virtual Driver" technology, adaptable to various vehicle types and application scenarios.
Pony.ai is among the first companies in China to obtain Robotaxi service permits in all four first-tier cities—Beijing, Shanghai, Guangzhou, and Shenzhen—and is the only company licensed to provide public passenger services in all four cities.
The company is also expanding its autonomous driving solutions and products to international markets, including Europe, the Middle East, and Asia. In October 2023, it secured a $100 million investment from Saudi Arabia’s NEOM and its investment fund NIF. Both parties plan to establish a joint venture in Saudi to provide autonomous driving solutions.
